DaVita Kidney Care (“DaVita”) is a global leader in kidney-care services, dedicated to improving patients’ quality of life through clinical excellence and compassionate care. This attorney will be part of a mergers and acquisitions legal team primarily supporting DaVita’s Kidney Care business in the United States. Reporting to the Assistant General Counsel, Mergers and Acquisitions, this individual will help support strategic growth. This role will be required to develop and foster relationships across the organization and provide legal support for healthcare transactions. The primary scope of this role includes drafting, negotiating, and closing Mergers & Acquisitions (M&A) and joint venture transactions.
As a member of DaVita’s legal department, the “Justice League of DaVita” (JLD), this attorney must balance legal risk with business objectives, providing creative, practical, commercially-minded advice while maintaining the highest ethical standards. This role offers a unique opportunity to work on high-impact deals that drive the growth and evolution throughout DaVita’s different businesses.
ESSENTIAL DUTIES AND RESPONSIBILITIES

Deal Execution: Under the supervision of the Assistant General Counsel, support all aspects of domestic M&A transactions and joint ventures, from due diligence through closing. This includes drafting and negotiating non-disclosure agreements, term sheets, and definitive agreements such as stock or asset purchase agreements, limited liability company agreements.

Due Diligence: Manage and coordinate legal due diligence, identify key risks (regulatory, operational, contractual) and propose mitigation strategies.

Strategic Advice: Develop and effectively articulate creative solutions within the context of the broader business and enterprise-level objectives to drive risk mitigation and negotiation strategies.

Cross-Functional Collaboration: Work closely with a broad range of cross-functional teams, including those located in different regions, to ensure deal terms align with enterprise goals and regulatory requirements.

Process Improvement: Contribute to the development and implementation of playbooks, standardized templates, processes and training materials, while leveraging emerging technologies and AI-enabled tools.
QUALIFICATIONS

Education: Juris Doctorate (J.D.) from an accredited law school.

Licensure: Admission to a State Bar in good standing.

3 to 6 years of legal practice, preferably with a top-tier law firm or a sophisticated in-house legal department.

Substantial experience in corporate transactions, specifically M&A, joint venture, and/or other complex transactional experience.

Experience in the healthcare industry is preferred but not strictly required for a quick learner.
