ABOUT THE ROLE: We are looking for a Senior Legal Counsel, Corporate to lead Vercel’s M&A transactions and Vercel Ventures investments, to assist with general corporate matters, and to support corporate initiatives including any future public company readiness and SEC reporting. This role will partner closely with Corporate Development, Finance, Accounting, Equity, and executive leadership across a broad range of corporate matters to strengthen our processes, structure and execute high-impact transactions, and provide exceptional advice to the business. You will play a key role in enabling Vercel to move quickly on strategic opportunities while building the legal foundations needed to support continued growth and strong corporate governance. This role will partner closely with Corporate Development, Finance, Accounting, and executive leadership across a broad range of corporate legal matters, from M&A transactions and strategic investments to general corporate governance and financings. You will play a key role in building the legal foundations needed to support Vercel's continued growth while enabling the company to move quickly and decisively. You will report to the Head of Corporate Legal. If you’re based within a pre-determined commuting distance of one of our offices (SF, NY, London, or Berlin), the role includes in-office anchor days on Monday, Tuesday, and Friday. WHAT YOU WILL DO:
- Lead end-to-end execution of M&A transactions, including structuring, diligence, negotiation, closing, and integration
- Serve as the primary legal partner for Vercel Ventures, advising on deal execution and risk across the investment lifecycle
- Support corporate governance, securities matters, and any future public company readiness and SEC reporting efforts
- Assist with general corporate matters including any debt and equity financings, board and stockholder matters, global entity management, and secondary sales
- Opportunity to assist on employment-related matters
- Identify opportunities to improve and scale transaction processes and legal frameworks to increase speed and consistency
- Advise executives and senior leaders on transaction-related risks and tradeoffs, enabling informed and timely decision-making
- Manage and coordinate outside counsel to deliver high-quality, efficient outcomes
- Translate complex legal and regulatory requirements into clear, actionable guidance for cross-functional teams
ABOUT YOU:
- 8+ years of legal experience, including significant M&A and general corporate transactional experience, with a mix of top-tier law firm and in-house experience
- Exposure to public company readiness and SEC reporting requirements
- Experience supporting high-growth technology companies and ability to balance business objectives with legal and regulatory compliance
- Demonstrated ability to independently own and execute complex transactions with minimal oversight
- Strong judgment with the ability to assess risk and make decisions in fast-moving, ambiguous environments
- Experience leveraging AI tools to improve legal workflows and execution speed
- Ability to partner effectively with senior business leaders and cross-functional teams
- Licensed to practice law in California or eligible for Registered In-House Counsel status

The San Francisco, CA base pay range for this role is $250,000 - $270,000. Actual salary will be based on job-related skills, experience, and location. Compensation outside of San Francisco may be adjusted based on employee location.
