Work You'll Do
Senior Consultants in the product tech diligence team assist in evaluating technology and/or software, identifying potential risks, and helping ensure it is a successful enabler for a pending M&A transaction. They deliver complex client engagements that help refine the client's product tech's strategy with a focus on inorganic growth. This is done by conducting software diligence, divestiture support and post-merger support for clients as they assess JVs, Partnerships, Acquisitions, or potential sales. As a product tech diligence Senior Consultant, you will serve as a trusted advisor to corporate and private equity clients. Deloitte's Senior Consultants are self-starters who are comfortable in an energetic and dynamic "roll-up-your-sleeves" culture. Senior Consultant level responsibilities include but are not limited to:
- Synthesize overall technology/software strategy by analyzing a wide variety of solutions, selecting the most relevant tools/techniques to meet specific client requirements such as business case, pricing, or complex financial and technical analysis, and interpreting and reporting on outputs
- Proven ability to be resourceful with certain subject matter areas that arise during diligence activities
- Responsiveness including the ability to respond to emails / calls within a reasonable turnaround based on client situation and needs
- Participate in setting engagement objectives and scope
- Develop work plans for components of engagements, coordinate activities between work streams and identify changes in scope
- Design deliverable content to precisely reflect the engagement contract and client needs and strive to improve deliverable quality through verification and validation of results
- Valuate technology systems and operations of a company
- Identify potential risks
- Help ensure IT or specific software is a successful enabler for a transaction
The Team
Our M&A team offers expert guidance to corporate and private equity clients in navigating complex growth and divestiture scenarios. Our services encompass M&A strategy and transaction diligence, integration and separation planning and execution, as well as transaction financing.
Within M&A strategy and transaction diligence, our IT and product tech diligence specialists focus on the value creation potential of each transaction and its inherent operational risks. The Deloitte IT diligence practice executes across several services through evaluating technology systems and operations of companies, identifying potential risks, and helping ensure IT is a successful enabler for an M&A transaction. Each service has a focus across an organization's people, process, applications and infrastructure, and incorporates unique industry considerations. Product tech diligence helps our clients by reviewing proprietary technology products, cyber security, initial carve out/standup requirements and initial integration/separation planning requirements. This is done through an integrated platform which more clearly checks the alignment of the deal macros with our clients' investment theses, focuses on the foundational maturity of the target company, brings more value creation concepts to the diligence effort, and applies a metrics-driven perspective.
Qualifications
Required:
- 4+ years of software / technology experience in the majority of the following areas: IT organization, IT processes, applications (custom-developed and off-the-shelf), infrastructure, cloud technology, and cyber-security; with a keen understanding of how technology enables business strategy
- 4+ years of experience synthesizing data, identifying risks and value-creation opportunities, and developing perspectives and implications as part of an overall concrete assessment of the subject company
- 4+ years of M&A product tech or software diligence or M&A product tech or software diligence service delivery experience
- Experience in the delivery of at least 10+ product/software tech projects for strategic or financial clients
- Bachelor's degree and 4+ years consulting and/or industry experience; alternatively, an MBA with 2+ years relevant work experience
- Limited immigration sponsorship may be available
- Ability to travel up to 50%, on average, based on the work you do and the clients and industries/sectors you serve
Preferred:
- Experience at a top strategy consulting firm or private equity / M&A Strategy focused boutique consulting firm
- MBA or advanced technology-related degree with 4+ years relevant work experience with at least 2+ years of consulting experience, 2+ years of M&A consulting, and at least 2+ years of practical software / technology experience
- Experience working on 2+ carve out transactions
- Experience leading digital transformation efforts across ERP, cloud, infrastructure, custom-developed technologies, etc.
- Experience leading pre- and post-merger IT or software/product tech activities.
- Lead responsibility for the delivery of at least 20+ product tech diligence projects for strategic or financial clients or other similar experience from other industry or consulting roles.
The wage range for this role takes into account the wide range of factors that are considered in making compensation decisions including but not limited to skill sets; experience and training; licensure and certifications; and other business and organizational needs. The disclosed range estimate has not been adjusted for the applicable geographic differential associated with the location at which the position may be filled. At Deloitte, it is not typical for an individual to be hired at or near the top of the range for their role and compensation decisions are dependent on the facts and circumstances of each case. A reasonable estimate of the current range is $118,700 to $218,600.
