INTRODUCTION

We are seeking a Managing Legal & Compliance Counsel, to lead a small, high impact commercial legal team while remaining a hands-on deal lawyer. This role will manage attorneys and paralegals and will be responsible for driving scalable commercial processes, closing complex SaaS deals, elevating Bluebeam’s global contracting framework, and ensuring compliance. Your role will involve providing strategic guidance, managing risk, and ensuring legal and compliance excellence across our operations. You will be functionally reporting into and regularly collaborate with Nemetschek´s Head of Legal & Compliance Shared Services US based in Dallas, Texas.
What You’ll Do
Leadership and management
- Lead, mentor, and develop attorneys and a paralegal, including workload allocation, priority setting, and performance feedback.
- Establish team goals, metrics, and workflows that support sales velocity, contract quality, and risk management.
- Serve as primary legal point of contact for senior GTM leaders (Sales, Customer Success, Marketing, Partnerships) and key business stakeholders.
- Create and refine playbooks, escalation paths, and approval frameworks to ensure consistent treatment of risk and efficient decision-making.
Individual Contributor Responsibilities
- Personally draft, review, and negotiate high-impact or strategic agreements, including enterprise SaaS subscriptions, MSAs, order forms, SOWs, SLAs, channel agreements, and complex NDAs.
- Lead negotiations on priority customer and vendor deals, including escalated or novel issues involving liability allocation, data use, and regulatory risk.
- Advise directly on deal structure, pricing mechanics, and commercial risk trade-offs to enable scalable, repeatable SaaS offerings.
- Handle select complex intercompany agreements and global structures in partnership with Finance, Tax, and other corporate functions.
- Employee Relations: Oversee internal investigations, manage legal disputes and partner with the People team when working through challenging employee situations; working closely with external counsel when necessary. Work with cross-functional teams to support existing policies and the creation of new policies that impact employees (employee handbook, sales incentive etc).
Commercial, privacy, and product work
- Oversee and participate in negotiation of customer-facing SaaS agreements, software licenses, professional services, and reseller/partner deals.
- Lead the function’s approach to privacy and data protection in commercial contracts, including advising on CCPA/CPRA, GDPR, cross-border data transfers, and security obligations.
- Own strategy and standards for DPAs (and related SCCs or other transfer mechanisms), including templates, fallback positions, and escalation criteria.
- Partner with Security, Product, and Engineering on customer-facing security and privacy responses and on customer questionnaires that impact deals.
- Track developments in privacy and, where relevant, AI regulation and translate them into practical guidance and contractual updates; AI experience is strongly preferred but not required.
- Compliance reporting and management, also towards Nemetschek Group.
Enterprise and global initiatives
- Lead enterprise-level initiatives to update online terms of use, SaaS subscription terms, DPAs, and other standard templates, in coordination with Legal, Product, and GTM leadership.
- Oversee IP portfolio and work with development teams to ensure appropriate filings.
- Support or oversee global commercial deals and frameworks, including working with regional teams and adapting contract structures to local requirements.
- Drive periodic training for Sales, Customer Success, and other stakeholders on templates, fallback positions, and how to spot and escalate legal issues.
- Execute on Nemetschek Group projects, initiatives and policies.
Team collaboration and way of working
- Foster a collaborative, business-oriented culture within the legal team, emphasizing practical, solution-oriented advice.
- Operate autonomously in a fast-paced environment while raising novel, strategic, or high-risk issues to senior leadership in a timely manner.
- Champion continuous improvement in response times, deal cycle times, and stakeholder satisfaction, using feedback and metrics to refine processes.
QUALIFICATIONS
- J.D. from an accredited law school and active membership in Texas state bar.
- 7+ years of experience as a commercial / technology transactions attorney, with significant SaaS and software licensing background; prior in-house experience strongly preferred.
- Demonstrated experience managing or leading attorneys and legal staff, including coaching, delegation, and performance management.
- Deep experience drafting and negotiating enterprise SaaS agreements, DPAs, and vendor contracts, including direct interaction with customer and vendor counsel.
- Strong working knowledge of CCPA/CPRA and GDPR in a commercial contracting context; experience with cross-border data transfer mechanisms preferred.
- Exposure to global contracting or multi-jurisdictional deals; familiarity with AI-related legal and regulatory issues is a plus.
- Excellent drafting, negotiation, and communication skills, with a track record of partnering effectively with Sales and cross-functional teams to close complex, time-sensitive deals.
- Proven ability to balance individual contributor responsibilities with people-management duties, managing workload and priorities across the team while modeling sound judgment and escalation discipline.
