Legal Counsel (In-House) - Brief Description
Work on-site as a member of the TSMC Arizona Legal Department, providing general corporate and commercial legal services to assist in achieving business goals while minimizing undue risk. Provide creative and cost-effective support and advice to in-house clients in operations, facilities, EHS, supply chain, finance, and human resources teams.
Responsibilities:
- Research and anticipate unique legal issues that could impact the company. Negotiate, write and facilitate internal stakeholder approvals on a wide variety of agreements.
- Develop policies and provide training.
- Work in a wide variety of areas, including corporate policies and standard operating procedures; commercial contract drafting and negotiation; intellectual property and trade secret protection; export, privacy and related regulatory compliance; dispute resolution; and investigations and corporate compliance matters.
Minimum Qualifications/Requirements:
Education and Work Experience:
- Must have a Juris Doctorate (JD) or a Master of Laws (LLM) or foreign equivalent degree and 4 years of experience as a lawyer.
Technical Skills:
- Must have at least 1 year of international transactional experience in a high volume national or multinational law firm, or multinational in-house setting, advising U.S.-based clients with a foreign parent corporation.
- Must have at least 1 year of experience in each of the following:
- drafting and negotiating general contracts and commercial agreements;
- conducting trainings with non-lawyers on legal subjects;
- preparing legal documents related to cross-border mergers and acquisitions, and foreign direct investment transactions;
- advising on corporate compliance with laws of foreign jurisdictions in overseas operations; and
- supporting global procurement with supply agreements, contract manufacturing agreements, and licensing arrangements.
- Must have active license in any US state bar.
Physical Requirements:
- Candidates must be willing and able to work on-site at our Phoenix Arizona facility.
Standard Work Hours: 40 hrs/week, Mon-Fri, 8:30 a.m. - 5:30 p.m.
