This role is part of the Legal Team within the Corporate Affairs Division and supports the company’s corporate governance and entity management functions. The position oversees domestic and international entities, regulatory filings, and compliance obligations across multiple jurisdictions. It also partners closely with legal, tax, finance, and business teams on transactions, reorganizations, and strategic initiatives.

- Manage the formation, registration, maintenance, and dissolution of domestic and international entities and branch offices, ensuring compliance with jurisdictional requirements
- Coordinate and file annual reports, business licenses, powers of attorney, and other regulatory filings to maintain good standing across jurisdictions
- Maintain and update entity management systems, ensuring accurate and current records for all corporate entities
- Provide certifications and certificates of incumbency for international matters
- Support KYC and UBO requirements by supplying requested information and coordinating notarization and legalization of documents
- Support internal and external audits by preparing entity documentation and responding to information requests
- Work with outside counsel to gather information for periodic disclosure requirements
- Partner with tax, finance, and business teams to support transactions, reorganizations, and other strategic initiatives
MINIMUM QUALIFICATIONS
- Bachelor’s degree or paralegal certificate from an accredited college or university
- 3 years of experience as a corporate paralegal, including at least 2 years in a corporate legal department
PREFERRED QUALIFICATIONS
- Degree in paralegal studies or paralegal certification
- 7+ years of experience
- Experience supporting a portfolio of domestic and international entities in a law firm or in house legal department
- Strong understanding of corporate structures, governance, and compliance obligations

- Proficiency in entity management software and Microsoft Office applications
- Strong attention to detail with the ability to manage multiple priorities in a fast paced, client focused environment
