About the Position - Responsibilities & Duties
We're currently seeking candidates for the position of Contracts Manager/Legal Manager for our Miami, FL office.

The job title assigned to the selected candidate will be based upon the candidate’s background of education and experience (i.e., contract administration vs legal).
Reporting to Waga Energy’s US Legal Counsel, the Contracts Manager/Legal Manager will serve as a member of the business development team and work in close collaboration with other internal departments managing contracts related to the company's landfill gas to Renewable Natural Gas projects including agreements with landfill owners, equipment suppliers/manufacturers/fabricators, construction contractors, and engineering service providers, as well as compliance aspects in coordination with the company’s legal team. The Contracts Manager/Legal Manager is responsible for ensuring that contractual obligations are met, risks are minimized, and compliance with legal and regulatory requirements is maintained.
Associated responsibilities will include, but will not be limited to:
- Negotiating, drafting, and reviewing contracts including landfill gas rights agreements, gas offtake agreements, site lease agreements, engineering, procurement, and construction (EPC) contracts, and equipment supplier/manufacturer/fabricator purchase contracts ensuring terms align with business objectives and mitigating legal and financial risks.
- Collaborating with internal and external legal counsel to ensure compliance with federal, state, and local regulatory requirements as well as supporting corporate compliance initiatives and ensuring adherence to governance standards.
- Contract management and compliance activities including maintaining an organized system for tracking contract terms, renewals, amendments, and expirations, monitoring contract performance to ensure all parties meet their obligations, and ensuring compliance with all applicable regulations, permitting requirements, and safety standards in contracts.
- Vendor and stakeholder coordination activities including working closely with landfill owners, construction contractors, engineering service providers, and RNG off-takers and serving as a liaison between internal teams and external stakeholders.
- Review and manage nondisclosure agreements (NDAs) with external partners, vendors, and stakeholders to ensure alignment with company confidentiality policies and contractual standards.
- Risk management and dispute resolution activities including identifying potential risks in contract execution, recommending risk mitigation strategies, addressing contract disputes or non-compliance issues, and assisting with claims management and contract enforcement actions if needed.
- Financial and reporting duties including tracking financial aspects of contracts including payment schedules, cost controls, budgeting, and preparing contract status reports and summaries.
- Process improvement related activities including supporting the development and implementation of best practices for contract administration and standardizing contract templates and documentation processes to improve efficiency.
About You - Qualifications & Skills
The ideal candidate is an enthusiastic, self-motivated professional with:
- A bachelor’s, master’s or professional degree in law, engineering, business management, or a related discipline. A US Juris Doctor or LLM degree is preferred but not required.
- 7 to 10 years of experience negotiating, administering, and monitoring performance of commercial and construction contracts associated with the development of complex full-scale infrastructure projects. Experience within the renewable energy industry or a closely related field working with energy transactions and contracts associated with renewable energy projects is preferred but not required.
- A strong understanding of commercial contracts, renewable energy transactions, and related federal, state, and local regulatory requirements.
- Advanced skills in the areas of contract management and negotiation as well as expertise with financial and legal risk management analysis.
- Excellent written & verbal communication skills and the ability to effectively build and maintain coworker, client and external partner relationships are critically important for success in this role. Candidates must also be autonomous/self-motivated, proactive, highly analytical, and well organized.
