The Position:
We are seeking an experienced employee benefits and executive compensation attorney to join the Legal Department as Corporate Counsel, Executive Compensation & Corporate Governance. This attorney will serve as a trusted advisor to the company's Human Resources and Executive Management teams on a wide range of matters relating to employee compensation and benefits, executive and director compensation, and ERISA compliance. The role will also provide legal guidance and support on related governance, tax, disclosure and regulatory issues, and will work closely with Human Resources, Finance, and senior leadership.
What You'll Do:
Executive & Director Compensation / Employee Benefits:
- Advise on the design, implementation, administration, and governance of employee compensation, health and welfare, and retirement benefit plans, including equity incentive plans, ESPPs, and deferred compensation arrangements.
- Provide legal support on executive and director compensation programs, including severance, change-in-control, and employment arrangements.
- Advise on 401(k) and welfare plan governance, fiduciary oversight, and related ERISA matters.
- Ensure compliance with ERISA, the Internal Revenue Code, ACA, HIPAA, COBRA, and other applicable laws and regulations.
- Monitor and interpret legislative and regulatory developments affecting compensation and benefits programs.
- Support M&A activity in close collaboration with Human Resources.
Public Company / Governance / Securities:
- Provide legal advice on compensation-related disclosure and corporate governance matters, including the Company's Annual Proxy Statement and annual shareholder meeting.
- Support Section 16 compliance, including preparation and filing of Forms 3, 4, and 5.
- Advise on insider trading compliance and review and administration of Rule 10b5-1 trading plans.
- Assist with Nasdaq listing standards and corporate governance requirements.
- Advise on executive and equity compensation aspects of M&A activity.
- Supervise a paralegal supporting subsidiary management.
Cross-Functional Partnership:
- Partner closely with Finance, Human Resources (including Total Rewards and Global Equity Plan Services), payroll, tax, treasury, and accounting on global equity incentive plans, executive compensation, and employee benefits matters.
- Keep key internal stakeholders informed of relevant legal, regulatory, and governance developments.
Who You Are:
- Juris Doctor degree and in good standing to practice law in the applicable state. A combination of 8 years of relevant experience and education, including with a top-tier law firm, advising public companies on corporate, securities, executive compensation, and/or global equity incentive compensation matters.
- Sound legal and business judgment, with the ability to handle sensitive and confidential matters with discretion and professionalism.
- Strong communication and interpersonal skills, with a service-oriented, collaborative approach.
- Highly organized and detail-oriented, with demonstrated ability to prioritize and manage multiple matters in a fast-paced environment.
- Proactive problem-solver with the ability to balance legal risk with practical business considerations.
- Intellectual curiosity, flexibility, and a desire to continuously learn and grow while working across a variety of legal issues.
- Strong project management skills and a reputation for responsiveness and follow-through.
- Ability to work effectively in a remote environment and collaborate with colleagues across multiple time zones.

For candidates based in our San Diego office, the salary (or hourly range is $210k - $225k.
For candidates based in our South San Francisco office, the salary or hourly range is $220k - $250k.
For candidates working remote (US), the salary or hourly range is $200k - $220k.
