Position Summary
Pac-Dent is seeking a practical, business-oriented Senior Corporate Counsel / Head of Legal to lead its internal legal function. This role will support commercial operations, intellectual-property strategy, corporate matters, legal-risk management, and coordination of U.S. and international outside counsel.
The ideal candidate is a strong legal generalist with meaningful IP experience who can build efficient legal processes, provide clear business guidance, and support Pac-Dent’s growth, international operations, strategic transactions, and long-term corporate readiness.
Key responsibilities
- Draft, negotiate, and manage commercial agreements, including dealer, distributor, supplier, private-label, vendor, confidentiality, licensing, and partnership agreements.
- Advise leadership on commercial, corporate, employment, dispute, and business-risk matters.
- Lead internal IP coordination, including patent and trademark portfolio management, invention disclosures, trade-secret protection, licensing, and management of outside IP counsel.
- Coordinate U.S., Taiwan, China, Germany, and other international legal and IP resources.
- Develop legal policies, contract templates, approval procedures, legal intake, matter tracking, and outside-counsel budget controls.
- Establish legal-review standards for product claims, marketing, labeling, promotions, dealer communications, and public-facing materials.
- Support corporate governance, strategic partnerships, acquisitions, licensing, due diligence, and legal readiness for future financing or public-company initiatives.
- Develop legal AI-use standards addressing approved tools, confidentiality, privilege, records retention, and human review.
Qualifications
- J.D. and active membership in good standing with a U.S. state bar; California admission or Registered In-House Counsel eligibility preferred.
- 8+ years of relevant corporate, commercial, or in-house legal experience.
- Strong commercial-contract drafting and negotiation experience.
- Working knowledge of patents, trademarks, trade secrets, licensing, and intellectual-property risk.
- Experience managing outside counsel, legal spend, and multiple legal priorities.
- Excellent business judgment, communication skills, and ability to provide practical legal advice.
- Experience in medical devices, dental, healthcare products, manufacturing, consumer products, or another regulated industry preferred.
- Experience working with international teams and outside counsel preferred.
- Patent-bar registration or technical background is preferred but not required.

Pay: $175,000.00 - $195,000.00 per year
