INTRODUCTION
The Corporate Counsel will serve as a legal advisor for the Company, providing strategic legal guidance across all aspects of construction law. This role will report to the Senior Legal Counsel and provide support to project teams, executive leadership, and administrative departments to ensure legal compliance, risk mitigation, and dispute management. The ideal candidate will have a background in construction-related legal matters and a proactive approach to problem-solving.

Responsibilities:
- Review, draft and negotiate construction contracts, subcontracts, and vendor agreements, including incorporation of prime contract terms and conditions, for large-scale vertical construction projects
- Ensure contracts comply with applicable laws and industry standards
- Review construction bid documents and advise business development and estimating teams on material terms, insurance requirements, and conditions impacting bid submissions
- Work closely with business development, preconstruction, procurement and project teams to ensure construction contracts align with Company’s contracting philosophy and risk tolerance profiles
- Advise project teams on material contract terms and conditions in project planning and kick-off meetings, including providing contract page turn reviews
- Develop content and conduct training for diverse audiences on matters of construction law or of contract interpretation
- Facilitate management of disputes, claims, and other project-level risks with the goal of resolving such matters at the lowest levels possible
- Undertake other special projects/initiatives as assigned or required
- Maintain corporate governance documentation and support entity filings and licenses
- Advise leadership on legal implications of business decisions and regulatory changes
- Support mergers, acquisitions, and other strategic initiatives
QUALIFICATIONS
- Juris Doctorate degree from an accredited law school in the United States
- Minimum 5-7 years of legal experience, including drafting and negotiating construction contracts
- Preferred Experience includes having represented or worked with general contractors or construction management firms
- Willingness to travel to the company’s office locations and project sites (up to 25%)
- Requires membership in the State Bar as an attorney qualified to practice law in one or more states in which we operate, or the ability to obtain membership as an in-house counsel in such states
Knowledge, Skills, and Personal Attributes:
- Strong knowledge of construction law, industry standards, and applicable federal, state, and local laws
- Understanding of the interplay between owners, contractors, subcontractors, and design professionals
- Ability to manage a large, fast-paced, and dynamic workload with minimal supervision
- Strong client-service mentality with proven ability to create and maintain effective working relationships with both internal and external clients
- Ability to work and communicate effectively with all levels of the Company
- Handle confidential material with requisite discretion and judgment while ensuring integrity in all business transactions
- Excellent interpersonal, analytical, and logical thinking skills
- Exceptional ability to advocate verbally and in writing the Company’s positions during contract negotiations with the client’s counsel
- Visibility requires maintaining a professional appearance and presenting a positive company image
- Strong computer skills, including proficiency in AI contracting systems, Microsoft Word, Excel, Outlook, PowerPoint, SharePoint, and Adobe Acrobat Professional
