SUMMARY
Core & Main is looking for a corporate generalist to join our legal department in an equity-eligible director role. Reporting to the General Counsel, you will assist with and provide counsel and advice on a wide variety of legal matters impacting our industrial distribution business, including public company securities compliance and corporate governance, acquisitions, labor and employment, contracting, real estate, and others. This role requires a strategic and well-rounded attorney who is familiar with practical and legal issues impacting public companies in the industrial space. You must have the ability to work efficiently and think critically, acting as a self-starter who can collaborate with operational and administrative functions within the organization on complex projects.
MAJOR TASKS, RESPONSIBILITIES AND KEY ACCOUNTABILITIES

Participate in corporate governance matters, including preparation of board materials, compliance program support, and assist with annual proxy preparation and coordination of annual shareholder meeting.

Assist in the preparation, review, and filing of certain SEC documents, including Section 16 filings, proxy statements, and press releases.

Act as partner to human resources team on employee relations matters.

Support company acquisition efforts as integral member of acquisitions team, including in-house legal coordination of acquisitions from inception to post-closing integration.

Provide day-to-day legal counseling on operational and transactional matters.

Assist and provide support to the company’s litigation and compliance efforts as needed.

Review and advise on customer and vendor contracts as needed.
EDUCATION; EXPERIENCE; SKILLS
-
J.D. and licensed attorney with bar admission in good standing in at least one state; ability to become registered for in-house practice in the State of Missouri.

11+ years at a law firm and/or in-house legal department with experience in general corporate work, with an emphasis on mergers and acquisitions, transactional work, and public company governance and compliance. (Experience with litigation is a plus.)

Ability to work collaboratively on cross-functional teams and with other internal legal team members and outside counsel.

Exhibit leadership, relationship skills, critical thinking, and strong communication and negotiation skills.

Excellent organizational and project management skills and attention to detail.

Strong written and verbal communication skills.

Ability to work independently and manage multiple projects with competing deadlines.
WORK ENVIRONMENT

On-site work environment in our St. Louis office, 4 days per week (one day remote).

Requires overnight travel less than 10% of the time.
