The Team
A&M's Corporate Transaction Tax & Advisory (CTTA) team is composed of seasoned tax professionals experienced in providing practical tax advice to corporate buyers and sellers throughout the transaction life cycle. By utilizing an integrated approach with A&M professionals with deep operating and financial-related experience, the team uses a focused and tailored approach to rapidly identify and understand potential deal breakers, value drivers, and other areas of specific interest to our clients. Our professionals advise on all aspects of M&A, including structuring, due diligence, and post-deal integration, as well as core tax planning matters such as internal restructurings, tax attribute modeling and planning, and other strategic initiatives – helping clients navigate complex transactions and optimize outcomes. The team has significant experience supporting both buy- and sell-side transactions across industries including healthcare, financial institutions, energy, technology, and consumer products.
How You Will Contribute
As a member of the A&M CTTA team, you will:
- Demonstrate a strong understanding of complex tax concepts and effectively apply that tax knowledge to client situations;
- Develop and deliver quality tax planning approaches with timely and responsive services and work product that meets and/or exceeds expectations;
- Perform due diligence including review of tax returns, financials, and other tax documentation to evaluate potential tax risks and opportunities;
- Plan and execute post-merger integration strategies;
- Develop and deliver complex tax models, tax benefit analysis, and stock basis calculations;
- Review and comment on tax aspects of purchase agreements;
- Coordinate with state and local and international tax team members, as well as financial and operational due diligence team members; and
- Develop, cultivate, and maintain senior-level client relationships, and support business development initiatives.
Qualifications
- CPA, JD (with bachelor's degree in accounting, preferred), Master’s in Taxation, or LL.M. in Taxation
- At least 7 years of relevant experience in a mergers & acquisitions, tax structuring, due diligence, international tax planning, and other core tax planning practices at a Big 4 firm, Big Law firm, or similar firm
- Knowledge of accounting and financial reporting
- Strong understanding of the consolidated return regulations, tax-free reorganization provisions and cross-border tax planning considerations
- Strong writing, analytical, research, Excel, and organizational skills
- Ability to leverage emerging technologies (e.g., AI-enabled tools) to enhance analysis, workflow efficiency, and client deliverables
- Strong communication, presentation, project management, and business development skills
- Strong sense of personal initiative and the ability to work effectively both independently and as part of a team
- Ability to work in a dynamic, time-sensitive environment.

Additionally, employees are eligible for paid time off including vacation, personal days, seventy-two (72) hours of sick time (prorated for part time employees), ten federal holidays, one floating holiday, and parental leave. The salary range is $165,000 - $200,000 annually, dependent on several variables including but not limited to education, experience, skills, and geography.
