The Role
LeafLink is seeking a business-minded and pragmatic Corporate Counsel to join our legal function during a critical stage of growth. The ideal candidate is excited by the opportunity to serve as a highly visible legal partner in a growing technology company, enjoys working across a broad range of legal and business issues with agility, efficiency, and a dose of good humor. This role will report to the Vice President, Corporate Affairs and serve as LeafLink's primary in-house legal resource, partnering closely with business leaders and outside counsel across a wide range of legal, regulatory, and commercial matters.
This individual will play a central role in supporting LeafLink's business by providing practical legal advice across commercial transactions, regulatory matters, corporate governance, product development, and strategic initiatives. As the company's primary internal legal resource, this person will work closely with leaders across the organization to identify risks, facilitate business objectives, manage outside counsel relationships, and help build scalable processes that support the company's growth.
This position requires a hands-on attorney who is comfortable operating independently in a fast-paced environment, balancing risk management with practical business solutions, and serving as a trusted business partner across the company.
This role offers exceptional exposure to nearly every aspect of an in-house legal function, including commercial transactions, governance, regulatory matters, product counseling, and strategic business initiatives. What You'll Be Doing
- Serve as a strategic legal partner on commercial, regulatory, and operational matters.
- Manage relationships with outside counsel and coordinate support on specialized regulatory, employment, litigation, corporate, and other legal matters.
- Draft, review, negotiate, and interpret commercial agreements including enterprise customer contracts, banking, and fintech services agreements, technology partnerships, and data licensing agreements.
- Partner closely with the Sales (Go-to-Market) team to support deal velocity and strategic initiatives including partnerships, corporate development opportunities, and new product launches.
- Provide practical legal guidance across a range of areas including commercial transactions, product development, privacy, employment, and corporate governance, and regulatory compliance. Partner with Product and Engineering teams to identify legal considerations related to new products, platform enhancements, data usage, and emerging technologies and AI-enabled tools.
- Build and maintain our commercial legal infrastructure, including contract templates, playbooks, process improvements, and legal workflows.
- Assist with board, investor, and corporate governance matters, including preparation of board materials and coordination with outside counsel on corporate governance matters.
- Identify and escalate legal risks appropriately while supporting business growth.
Who You Are
- You have the ability to work quickly and independently in a dynamic, fast-paced environment.
- You exercise sound judgment and are comfortable independently managing matters while knowing when to escalate issues and engage outside counsel and company executives.
- You have experience drafting, negotiating, and interpreting commercial and transaction agreements relating to SaaS, FinTech products and services, master services, data licensing, technology, and general commercial transactions.
- You have broad legal knowledge that enables you to spot and resolve a variety of legal issues in upcoming product offerings (e.g., regulatory, contract, IP, privacy, consumer protection, risk); and an ability to identify and clearly communicate practical, risk-based solutions.
- A problem solver with a "let's get it done" attitude combined with a willingness to roll up your sleeves, work cross-functionally, and pitch in where needed.
What You'll Bring to the Team
- J.D. from an accredited law school and active membership in good standing with a U.S. state bar.
- At least 3-5 years of legal experience, preferably including experience at a leading law firm, technology company, fintech company, or a combination thereof.
- Strong interpersonal skills, with the desire and ability to develop productive and collaborative working relationships with multiple stakeholders across LeafLink
- Strong experience drafting and negotiating complex commercial agreements.
- Impeccable written and oral communication skills and the ability to communicate effectively with legal and non-legal audiences at all levels of the organization.
- Experience advising companies operating in regulated industries, fintech, payments, SaaS, or technology businesses is preferred.
- Excellent at understanding complex topics as well as finding streamlined solutions to complex issues that address appropriate levels of risk.
