Job Description
THE POSITION:
EVERSANA is seeking a highly skilled and experienced Senior Counsel to join our legal team. This role will serve as a hands-on legal advisor and counselor supporting the company’s artificial intelligence (AI) and data initiatives. The Senior Counsel will provide legal advice and risk assessment related to AI and data use across the enterprise. The candidate will act as a trusted advisor and primary contributor, with strong ownership of outcomes.
The Senior Counsel will partner with business, product, and technology teams, as well as Legal, Compliance, and Privacy colleagues, to evaluate AI use cases and provide clear, practical legal guidance that enables responsible and compliant deployment of AI capabilities. The ideal candidate will bring 10-12+ years of relevant legal experience, including experience in a similar role advising on technology, AI, data, or intellectual property matters.
ESSENTIAL DUTIES AND RESPONSIBILITIES:

- CORE LEGAL RESPONSIBILITIES
- Provide expert legal counsel to various business units
- Draft, review, and negotiate complex commercial agreements
- Identify, analyze, and assess legal risks and provide proactive advice
- Stay abreast of relevant changes in laws, regulations, and industry trends
- Collaborate effectively with other members of the Legal and Compliance function and cross-functional teams
- Manage outside counsel relationships and legal expenses
- ARTIFICIAL INTELLIGENCE
- Provide legal advice and risk assessment on AI tools, models, and data-driven initiatives across the enterprise
- Identify and assess legal risks related to intellectual property, data use, privacy, regulatory compliance, and contractual exposure
- Apply sound legal judgment to evaluate AI use cases and provide clear, practical, business-oriented guidance
- Serve as a legal advisor to business, product, and technology teams supporting the development and deployment of AI-enabled offerings
- Enable business teams to move forward with AI initiatives in a responsible, compliant, and commercially viable manner
- INTELLECTUAL PROPERTY, DATA, AND AI ADVISORY
- Act as a subject matter expert on AI-related legal issues, with a strong emphasis on intellectual property and data-related risks
- Advise on:
- AI model development, training, and deployment
- Training data sourcing, licensing, and copyright considerations
- Ownership and use of AI-generated outputs
- Data use, access, and privacy requirements
- Provide legal guidance on protecting enterprise IP while managing third-party IP exposure
- COMMERCIAL / CONTRACTING
- Draft, review, and negotiate agreements related to AI, technology, and data use, including:
- Technology and SaaS agreements
- Data usage data rights, licensing, and training data provisions
- AI output ownership, use restrictions, and indemnities
- Advise on contractual risk allocation in AI-enabled products and services
- Demonstrate a commitment to diversity, equity, and inclusion through continuous development, modeling inclusive behaviors, and proactively managing bias.

Qualifications
MINIMUM KNOWLEDGE, SKILLS AND ABILITIES:
The requirements listed below are representative of the experience, education, knowledge, skill and/or abilities required.
- Juris Doctor from accredited law school
- 10 - 12+ years of relevant legal experience, including experience in a similar role advising on technology, AI, data, or intellectual property matters
- Strong ability to assess legal issues related to AI, data, and emerging technologies
- Demonstrated ability to independently manage complex, cross-functional legal matters and drive issues to resolution
- Strong communication skills and ability to deliver practical, business-oriented legal guidance
PREFERRED QUALIFICATIONS:
- Experience working in the technology industry or with AI-driven products and services
- Experience with data privacy frameworks (e.g., GDPR, HIPAA)
- Strong background in intellectual property (highly preferred), including copyright, licensing, or technology/IP transactions

Office: While performing the essential functions of this job the employee is frequently required to reach, grasp, stand and/or sit for long periods of time (up to 90% of the shift), walk, talk and hear; occasionally required to lift and/or move up to 25 pounds. The noise level in the work environment is usually moderately quiet, with frequent interruptions and multiple demands.
