INTRODUCTION
The Associate General Counsel – Litigation will play a key role in overseeing Sirius XM’s and Pandora’s active litigation and pre-litigation matters—including commercial disputes, regulatory investigations, music licensing proceedings in rate court, and general risk mitigation strategies. This role will coordinate with our internal legal and business teams along with external counsel to develop strategy, mitigate risk and contain cost. We seek a candidate with a strong background in strategy, case management, and risk assessment in commercial litigation cases; experience in music licensing matters is a plus. This role will help to establish and drive enterprise litigation strategy, advise the business on critical matters and shape company-wide principles and governance practices that protect the organization’s long-term interests.
ROLE AND RESPONSIBILITIES
- Manage and oversee all aspects of litigation and pre-litigation matters, including consumer protection, commercial and intellectual property claims; class action lawsuits; rate court proceedings and regulatory investigations, from case assessment through resolution.
- Develop and execute litigation strategies to minimize risk and protect the company’s interests.
- Oversee discovery, depositions, motions, and trial preparation in coordination with external counsel.
- Evaluate settlement opportunities and recommend risk-mitigation strategies to leadership.
- Serve as a key liaison with outside counsel, ensuring cost-effective and efficient case management.
- Provide proactive legal counsel on potential disputes and recommend risk-mitigation strategies.
- Develop and implement policies and procedures to reduce legal exposure and liability.
- Conduct internal investigations in response to complaints, regulatory inquiries, or potential legal claims.
- Advise business units on best practices to prevent litigation and regulatory non-compliance.
- Collaborate with internal business teams to ensure alignment on litigation strategy and risk management.
- Manage legal budgets and cost-containment efforts related to litigation.
- Represent the company in mediations, arbitrations and negotiations when necessary.
- Drive enterprise-wide litigation objectives, principles, and governance standards for SiriusXM and Pandora, ensuring consistent approaches to legal risk across business units.
- Serve as a litigation advisor to senior leadership and key decision-makers, translating legal exposure into strategic business recommendations and materially influencing company decisions.
- Anticipate emerging litigation, regulatory, music-licensing, and industry risks; develop forward-looking response strategies and recommend enterprise process, policy, and service improvements.
- Lead cross-functional initiatives with broad organizational visibility, establishing formal networks with senior business, legal, finance, product, policy, and operational decision-makers.
- Act as an authoritative external representative of the company, as appropriate, in proceedings, negotiations, regulatory engagements and other matters involving legal or reputational risk.
BASIC QUALIFICATIONS
- Juris Doctor (JD) from an accredited law school; licensed to practice law in any U.S. jurisdiction.
- Typically requires a minimum of 8 years of applicable experience at a law firm or in-house legal department.
- Demonstrated experience leading critical, complex, or precedent-setting litigation and/or regulatory matters.
- Proven ability to advise senior leadership, influence key decision-makers and to drive enterprise legal strategy, objectives, and principles.
- Strong knowledge of civil procedure, regulatory investigations and dispute resolution strategies.
- Experience managing outside counsel and litigation budgets.
- Excellent legal research, writing, analytical and negotiation skills.
- Ability to manage multiple litigation matters simultaneously in a fast-paced environment.
- Strong business acumen and the ability to communicate legal risks effectively to business stakeholders.
- Background in handling class action lawsuits, intellectual property disputes, or government investigations; additional experience in rate court and Copyright Royalty Board Proceedings preferred.
- Proficiency with e-discovery tools and legal technology platforms.
- Experience with automation and/or AI tools such as ChatGPT, Gemini, etc.
- Familiarity with digital audio, streaming and/or entertainment businesses preferred.
- Must have legal right to work in the U.S.
COMPENSATION
At SiriusXM, we carefully consider a wide range of factors when determining compensation, including your background and experience. These considerations can cause your compensation to vary. We expect the base salary for this position to be in the range of $193,000 to $243,500 and will depend on your skills, qualifications, and experience. Additionally, this role might be eligible for discretionary short-term and long-term incentives. We encourage all interested candidates to apply.
