JOB SUMMARY
Provide comprehensive legal support with a primary focus on corporate governance, legal operations, and litigation management. This role partners closely with attorneys, internal stakeholders, and outside counsel to ensure effective governance practices, efficient legal processes, and strong litigation support.
WHAT YOU WILL DO

Corporate Secretary & Governance Support
- Support corporate governance activities, including board and committee meeting coordination, preparation of agendas, minutes, resolutions, and materials
- Maintain corporate records, minute books, and entity management databases in compliance with legal and regulatory requirements
- Assist with entity formation, qualifications, annual filings, and corporate record maintenance
- Ensure compliance with corporate governance policies and records retention requirements
Litigation Management
- Coordinate and support litigation matters, including tracking case status, deadlines, and key deliverables
- Partner with outside counsel on discovery, document collection, and production processes
- Maintain litigation files, reports, and summaries for internal stakeholders
- Prepare monthly litigation reports on case status and billing
Legal Operations
- Manage legal billing operations, including invoice review, compliance with billing guidelines, adherence to agreed budgets, and vendor communications
- Open, track, and maintain legal matters across the department
- Maintain and optimize legal systems, databases, and workflows (e.g., matter management, document management)
- Track and report on legal spend, accruals, metrics, and performance insights
- Drive process improvements to increase efficiency, consistency, and transparency across legal activities
- Partner with attorneys and corporate compliance team to implement compliance initiatives, monitor program activities, and ensure timely completion of required actions.
General Legal Support
- Manage administrative duties for legal department, including scheduling and calendar management to track key corporate and litigation deadlines
- Support preparation of executive presentations and reporting materials
- Coordinate internal and external communications related to legal matters
- Draft, review, and coordinate contracts and agreements (e.g., vendor agreements, NDAs, SOWs) for attorney review
- Perform other job-related duties as assigned
REQUIRED MINIMUM QUALIFICATIONS:
Education and Experience:
Associate’s degree in Paralegal Studies with 3+ years related corporate governance, legal operations, and/or litigation or High School Diploma / GED with 7 years paralegal/legal assistant/legal operations experience
Must be 21 years of age or older
Knowledge of:
Advanced proficiency with Microsoft Office (Outlook, Word, Excel, & PowerPoint) and Microsoft Teams & SharePoint
Experience using any legal billing software a plus

Annual Base Salary Range: $57936.00 - $72420.00
Final compensation will be determined based on experience, qualifications, and internal equity. This role may also be eligible for annual bonus or incentive compensation.
