Position Summary
Guggenheim Securities, LLC is seeking a talented, motivated individual to join a small, collegial, team-oriented legal department in support of the firm’s fast-growing investment banking and capital markets business. This role offers broad exposure to transactional work, real-time client interaction, and the chance to work alongside subject matter experts on sophisticated financial advisory and capital markets matters. In addition to solid contract drafting and negotiating experience and strong communication skills, the ideal candidate will have at least two years of work experience with a reputable law firm in a transactional law practice.
The legal department provides its lawyers with hands-on legal training and mentoring, as well as with myriad opportunities to develop unique legal and analytical skills across a wide variety of transactions and strategic situations, including in areas of unique relevance to in-house lawyers at financial institutions, such as advisory support, engagement letter negotiation, participation in committee processes and risk calibration. We believe talent development is critical to our growth strategy in the changing legal services landscape.
Primary Job Functions
- Draft, review, negotiate and maintain key documentation associated with investment banking and capital markets transactions, including engagement letters, non-disclosure agreements, marketing and disclosure documents and disclaimers
- Advise on legal, regulatory, and reputational risks across a wide range of coverage areas
- Contribute to the development and maintenance of legal templates, playbooks, and contract management systems
- Collaborate with internal stakeholders across the firm to deliver timely, practical legal guidance
- Other duties as assigned, which may include support for senior legal team on transactional and restructuring matters such as assistance with Chapter 11 filings, disclosures and court documents
Basic Qualifications
- At least two years of work experience with a reputable law firm in a transactional law practice, with a J.D. from an accredited law school, admitted to practice law and in good standing in at least one U.S. jurisdiction
- Exposure to sophisticated corporate legal practice (with experience in M&A and capital markets practice areas required)
- Excellent verbal, written, analytical and interpersonal communication skills
- Intellectual curiosity and comfort navigating new legal issues
- High professional maturity; confident engaging with senior bankers and external counsel
- Sound judgment with an ability to identify practical solutions to business questions in a fast-paced, high-stakes environment
- Ability to multi-task, meet dynamic deadlines and prioritize among multiple assignments

Salary
- Annual base salary between $165,000 - $180,000.
- The base salary range represents the low and high end of the anticipated base salary range for this position. Actual base salaries may vary depending on factors such as location and experience. The range listed reflects base salary only, and the total compensation package may include other components such as incentive compensation.
