About the Role
We're an early-stage startup preparing for launch and looking for a sharp, entrepreneurial law student or recent grad to join us as a hands-on legal advisor. This isn't a coffee-fetching internship — you'll be working directly with founders on real legal questions across a genuinely varied stack: corporate formation, crypto payment rails, digital art/IP licensing, and nonprofit compliance. Whether you're finishing up your final year of law school or you've already graduated and are exploring paths outside a traditional firm track, this is a chance to get practical, cross-disciplinary legal experience — and a stake in the outcome.
What You'll Work On
- Corporate & Formation Legal Work — Entity structuring, governance documents, founder agreements, cap table basics, and general legal documentation to support launch.
- Crypto Payments & Blockchain Compliance — Legal review of accepting cryptocurrency as a payment method and related blockchain infrastructure (note: this does not involve a platform token, ICO, or securities offering — payment rails and regulatory compliance only, e.g., money transmission, KYC/AML considerations).
- Digital Art & IP Rights — Licensing agreements, copyright ownership and assignment, and usage rights for digital art and creative assets (e.g., commissioned artwork, digital collectibles, generative/AI-assisted art considerations where relevant), plus related trademark issues for product/brand assets.
- Nonprofit Terms & Compliance — Drafting and reviewing terms & conditions and compliance documentation related to 501(c) nonprofit partners.
- General Advisory — Flagging legal risk across the business as it scales, and helping translate legal complexity into plain-language guidance for a non-legal founding team.
Who You Are
- Currently in your final year (3L or equivalent) at a top U.S. law school, or a recent graduate of one (JD within the last ~1-2 years), whether or not you've sat for or passed the bar.
- Genuinely curious about startups, emerging tech, and working outside a traditional firm track.
- Comfortable with ambiguity — you'll often be the first person mapping out an issue, not just executing a known playbook.
- Some exposure to (coursework, clinic, or independent interest in) corporate law, IP/IP licensing, fintech/crypto regulation, or nonprofit law is a strong plus — no single candidate needs to check every box.
- Strong written communication skills; able to explain legal risk clearly to non-lawyers.
- Self-directed and able to work independently in a remote, async-friendly environment.
Compensation
This is primarily an equity-based engagement — exact equity percentage, vesting schedule, and structure are negotiable based on scope, experience, and time commitment. We're also open to discussing a performance or milestone-based bonus and long term engagement on top of equity for candidates who want additional upside tied to concrete deliverables.
