The Role
This is a full-time role based in New York, focused on managing the day-to-day legal aspects of new investments by Sixth Street. This person will be a part of the Legal team, working closely with Investing and Core team members.
Core Responsibilities
- Issue spotting, negotiating and managing legal aspects of new investments by Sixth Street’s Asset Based Finance funds and investment management accounts. This may include complex investments (e.g., convertible preferred equity, redeemable preferred equity, convertible debt), mergers and acquisition transactions, loan originations, joint ventures, structured finance transactions; insurance and reinsurance transactions, acquisitions and dispositions of equity, loans and bonds in the secondary market, and purchases and sales of pools of loans
- Structuring and implementing transaction structures in collaboration with Sixth Street Tax
- Execution of deal term sheets, signings and closings
- Overseeing legal aspects relating to management of existing investments, including working with deal teams and portfolio company management, follow-on investments, restructurings, and exiting investments (including through public markets)
- Issue spotting, negotiating, and overseeing financing agreements, and following execution, maintaining compliance with financing agreements. Financing arrangements may include fund credit facilities, deal-specific leverage arrangements, repurchase arrangements, securitizations and warehousing arrangements
- Development and systematization of legal processes and guidelines (from concept to execution)
- Issue spotting fund-related matters and advising on legal elements of funds, especially as they relate to specific investments
- Preparation and review of third-party communications, including marketing materials, communications with investors, investor conference materials, press releases, and similar communications
- Negotiating and overseeing legal aspects relating to Sixth Street’s contracts with advisors, sourcing, servicing, diligence and other service providers and consultants
- Monitoring outside counsel relationships and working with outside counsel in connection with the foregoing
- Working closely with deal professionals and the Core team, including members of the Legal & Compliance and Tax teams, in connection with the foregoing

Preferred
- The candidate should hold a law degree from a highly regarded American law school and be a member of the bar, although it is not necessary for the attorney to be a member of any specific state bar
- A minimum of seven years of corporate legal experience (law firm and/or in-house).
- Broad familiarity with complex financial transactions, private and public M&A, capital markets, structured finance, tax, and securities law
- Significant experience leading, negotiating, executing, and managing complex and varied transactions, including private and public M&A, joint ventures and debt transactions
- Significant experience with capital markets transactions and related public filings / disclosures
- Facility with complex tax structures and cross-border transactions.
- Experience with private investment funds
- Experience balancing and mitigating risk in the deal context
Compensation
The base salary for this position is expected to be $250,000. The base salary offered to the selected candidate will be commensurate with a candidate’s relevant experience and other qualifications for the position, as determined by Sixth Street in its sole discretion. In addition to base salary, this position is eligible for an annual discretionary bonus and a competitive benefits package. Benefits offered currently include health, life, long-term and short-term disability insurance and a 401(k) plan. In addition, this role is eligible for paid public holidays (NYSE calendar), paid sick days pursuant to local laws, and additional reasonable time off subject to manager approval. If a job offer is extended for a location other than New York, the salary range may differ based on the location.
