Bennett Thrasher (“BT”) has an opening for a Mergers & Acquisitions Tax Manager. This individual will be working with Partners and Managers to play a key role in leading, mentoring, and coaching team members. The M&A Tax Manager will work with the Partners to manage a variety of projects related to buy-side and sell-side transactions for clients. Managers share responsibility with partners for management of engagements and client communications while promoting a collaborative environment to bring value to clients and maintaining the highest technical and professional standard.
Responsibilities
- Exhibits a high-level understanding of technical requirements, procedures and principles of corporate and partnership mergers and acquisition transactions.
- Applies and interprets U.S. federal income tax law as it relates to tax due diligence exercises.
- Manages project workflow from beginning to end.
- Recognizes potential issues early in the engagement and communicates them to the engagement partner and team.
- Demonstrates expert knowledge and understanding of analytical tools and technical issues.
- Ability to work with large, complex data sets to build models and provide insights to clients.
- Reviews and advises on technical research memorandum.
- Ability to apply relevant law to particular clients and circumstances.
- IRC Section 382 studies, IRC Section 280G analyses, IRC Section 1202 analyses.
- Develops effective working relationships with clients and firm associates.
- Thinks strategically about client needs by understanding their business and key risks.
- Maintains client relationships through effective and professional communication; proactively asks for feedback on improvements in order to maximize client satisfaction.
- Able to develop unique solutions to client issues.
- Promotes additional services to client when appropriate.
- Stays abreast of current economic and business events.
- Builds and maintains positive relationships across the firm. Work with other client service teams in tax department to assist clients before, during, and after transactions.
- Effectively delegates responsibility providing proper instructions, monitoring and coaching.
- Conducts training for lower level associates.
- Manages projects by scheduling associates, tracking completion, and managing the budget.
- Maintains open communication with team regarding the progress of completion on projects.
- Participates actively in training and developmental opportunities, both as an attendee and as a facilitator.
- Manages client billing and client inquiries.
- Develops appropriate fee quotes for new tax engagements.
- Represents the goals of the firm on a consistent basis internally and externally.
- Networks to promote Bennett Thrasher business and bring in new clients.
Qualifications
- Undergraduate degree required, Master’s preferred.
- CPA or JD required.
- 5+ years of M&A tax experience is required, preferably with a Big Four, National or Regional firm.
- Advanced knowledge of Federal and State income tax laws and principles of individual and business taxation is required.
- Strong skills in tax research and writing preferred.
- Excellent written and verbal communication skills.
- Strong commitment to professional and client service excellence.
- Proven time management, organizational and prioritization skills.
- Ability to effectively manage multiple engagements simultaneously.
