Responsibilities:
- Lead the review and negotiation of diverse commercial agreements, including construction, commercial real estate, software licenses/SaaS, professional services, and data privacy agreements.
- Assess legal risks and disputes in commercial agreements, offering practical guidance on risk management, policy compliance, and contractual obligations.
- Enhance processes by creating, developing, and managing legal trainings and playbooks.
- Cultivate strong, collaborative relationships with strategic business partners, such as security, privacy, procurement, and finance, to align legal strategies with business goals for cohesive operations.
- Undertake special projects and tasks as needed, addressing unique legal challenges and supporting new business initiatives in a dynamic environment.
Ideal experience would include:
- Expertise with Construction and Design Agreements and Commercial Leases (US [e.g., AIA Forms] and international). Interior Office and Data Center construction experience helpful.
- Experience with Data Center Co-location Agreements (enterprise level).
- M&A experience with respected real estate issues.
- Experience in Software Licenses and SaaS agreement negotiations.
- Proficiency in Data privacy agreement review and negotiation.
- Expert grasp of contracting concepts and outstanding legal and analytical skills.
- Ability to provide advice and support in a wide range of areas.
- Capability to identify, prioritize, analyze, and resolve a variety of legal issues quickly and effectively.
- Skill in mitigating privacy and information security risks when sharing data.
- Demonstrated ability to be a strategic liaison and build strong working relationships with various business units.
- Strong communication and presentation skills.
- Strong work ethic with a sense of humor is a must.
- A track record of performing special projects/initiatives and other duties as assigned.
- Some travel required.
Qualifications
- JD from an ABA accredited law school and in good standing with a US state bar.
- 8-10+ years of relevant transactions expertise in reviewing and negotiating construction/design and lease agreements, plus a variety of expense and revenue contracts with third parties, including international partners and suppliers.
- Additional in-house experience with general knowledge of business practices at large national or international companies preferred.
- Comfortable with ambiguity and a fast-paced culture; possess a practical, solutions-oriented focus.
- Self-motivated and self-directed, capable of working with minimal direction.
- Ability to identify, prioritize, and resolve legal issues quickly and effectively.
- Demonstrated ability to lead and drive sophisticated commercial and technology transactions.

Pay Transparency:
The typical base pay for this role across the U.S. is: $70.00 - $75.00 /hr. Non-exempt positions are eligible for overtime at a rate of 1.5 times the base hourly rate for all hours worked in excess of 40 in a work week, or as required by state or local law. Final offer amounts, within the base pay set forth above, are determined by factors including your relevant skills, education and experience. Full-time employees are eligible to select from different benefits packages. Packages may include medical, dental, and vision benefits, health savings accounts with qualified medical plan enrollment, 10 paid days off, 3 days paid bereavement leave, 401(k) plan participation with employer match, life and disability insurance, commuter benefits, dependent care flexible spending account, accident insurance, critical illness insurance, hospital indemnity insurance, accommodations and reimbursement for work travel, and discretionary performance or recognition bonus.
