The Loram Maintenance of Way, Inc. (“Loram”) Assistant General Counsel, Legal & Compliance, reporting to the company’s Chief Legal Officer & Chief Compliance Officer, is responsible for providing independent, strategic, and practical legal counsel on a variety of complex domestic and international issues. This individual will evaluate, make recommendations, and continuously improve Loram’s compliance program and enterprise risk mitigation; provide leadership to ensure adherence with laws, statutes, and regulations in all jurisdictions where Loram operates; and communicate with senior executives on matters of strategic importance.
The Assistant General Counsel, Legal & Compliance will be required to take a highly visible and important role as a member of the Legal & Risk Department and provide direct legal support to global business unit leadership. The Assistant General Counsel, Legal & Compliance’s ability to connect and work effectively with personnel from a variety of functions and as an integrated member of cross-disciplinary teams is critical to succeeding in this position.
ESSENTIAL JOB FUNCTIONS:
Legal Skills
- Provides proactive, effective and timely legal guidance with clear and concise communication skills to senior leadership and management, contract analyst personnel, and all levels of functional and global business unit organizations on general legal matters.
- Leads and manages all stages of complex commercial, regulatory and strategic matters, including issue identification, risk assessment, negotiation strategy, and resolution.
- Drafting and negotiating various legal agreements, including but not limited to customer and supplier contracts, service agreements, intellectual property license agreements, development agreements, technical services agreements, software licenses, non-disclosure agreements and other miscellaneous agreements.
- Serves as a key, assigned legal resource and operations counsel to business unit leadership supporting and coordinating all legal needs for business unit.
- Serves as a legal resource to Human Resources team and advises on general employment and labor matters.
- Supports merger & acquisition due diligence, transaction process, post-closing matters, and integration activity.
- Coordination with outside counsel on completion of legal matters requiring outside counsel support.
- Leadership in the maintenance of corporate organizational entity structure and governance throughout global enterprise.
- Proactively monitor compliance and coordinate with global business units and external resources on legal regulatory matters relevant to Loram’s products, services, operations and business initiatives across the global enterprise.
Compliance Operations & Execution
- Partner with enterprise peers to design, implement, strengthen and maintain a comprehensive compliance program aligned with applicable laws, regulations, and recognized best practices.
- Oversee the periodic review of compliance policies, procedures, documentation, standards, and Code of Conduct.
- Conduct routine compliance monitoring activities and periodic testing to confirm adherence to policies and regulatory requirements.
- Track key compliance obligations and operational controls through metrics, checklists, workflows, and reporting tools.
- Oversee compliance due diligence for third parties, vendors, agents, and business partners.
Risk Assessment & Regulatory Monitoring
- Partner with Risk Management team to conduct enterprise and functional compliance risk assessments and ensure risks are appropriately identified, prioritized, mitigated, and documented.
- Monitor changes in laws, regulations, and enforcement trends relevant to the organization’s operations across all jurisdictions.
- Translate regulatory requirements into practical, business-aligned compliance controls.
Investigations & Issue Management
- Administer the intake, investigation, and resolution of compliance concerns, including hotline reports and internal complaints.
- Ensure investigations are conducted promptly, independently, and consistently with appropriate documentation and remediation.
- Track trends, root causes, and corrective actions arising from compliance issues.
Training & Culture
- Deliver risk-based compliance training programs for employees and relevant third parties.
- Promote a culture of ethical behavior and compliance awareness throughout the organization.
- Partner closely with Legal & Risk, HR, Finance, EH&S, and business units to integrate compliance into day-to-day operations.
REQUIRED QUALIFICATIONS:
Education:
- Juris Doctorate (JD) from an ABA accredited law school, Law Degree and admission to the Bar for purposes of practice in Minnesota.
Experience:
- Eight (8)+ years of prior relevant experience related to the foregoing essential job functions, and, in particular, in reviewing, drafting, and negotiation of complex commercial contracts – domestic and international, general corporate counseling of global companies, and compliance program administration.
Knowledge, Skills and Abilities
- Specialized knowledge of commercial law including contract review, drafting, and negotiation, as well as regulatory compliance relevant to the company.
- Strong experience in corporate governance activities for a global company with offices in many geographic locations.
- Administration of compliance program matters.
- Excellent verbal and written communication and presentation skills, including at the C-Suite and Board of Director levels.
- Well-developed leadership skills including the ability to influence.
- Willing to travel as necessary to support business.
- Fluent in English, written and spoken.

- Experience advising on general employment and labor matters.

This position requires successful completion of the following:
- Social Security Verification: The individual’s name must correspond to their Social Security number and date of birth.

Compensation:
