JOB DETAILS
We are seeking an M&A Attorney to join our Business and Transactions practice, advising clients on sophisticated corporate transactions and related business matters.
Responsibilities:
- Advise clients on a broad range of business and mergers and acquisitions transactions
- Draft and negotiate term sheets, letters of intent, purchase and sale agreements, operating agreements, and shareholder agreements
- Counsel clients on corporate and partnership tax issues related to transactional matters
- Assist clients with business succession planning and related ownership transition matters
- Provide clear, strategic legal guidance in a collaborative, team-oriented practice
QUALIFICATIONS:
- Minimum of 7 years of business and transactional experience
- Strong experience handling a variety of M&A matters
- Experience drafting and negotiating core transaction documents
- Familiarity with corporate and partnership taxation issues and business succession matters
- Excellent legal research, writing, and communication skills
- Strong academic credentials and professional references
- Admitted to practice law in the State of Oregon
- Full-time preferred, though we are open to candidates seeking less than full-time employment
