Responsibilities:
- Monitor changes to procurement laws and related regulations and assist in development and submission of internal client-facing updates on changes or policy issues relevant to the company.
- Perform general legal research on procurement regulations, corporate governance topics, case law, and contract-related legal issues; prepare concise internal memoranda summarizing findings.
- Participate in internal process improvement initiatives, including development of templates, checklists, playbooks, and SOPs for recurring contract and compliance activities.
- Conduct preliminary contract reviews for a variety of agreements, including customer subcontracts, vendor contracts, NDAs, MOUs, and teaming agreements, identifying key terms, risks, and compliance obligations.
- Assist in contract negotiation preparation by developing issues lists, reviewing counterpart redlines, and coordinating with internal stakeholders to gather positions and risk assessments.
- Support Legal and Contracts teams in drafting, revising, and formatting contract provisions, ensuring accuracy and alignment with company policies and applicable regulations.
- Support the Legal and Contracts teams in responding to internal inquiries by researching relevant statutes, regulations, or precedents and preparing draft guidance.
- Support maintenance of corporate governance and administration for relevant legal entities.
- Maintain legal archive documents and advise and assist on organizational document information and management practices.

- Ability to break down and understand complex legal and regulatory problems.
- Understand the process of memorializing contractual deals where the U.S. Government is the ultimate customer.
- Deeper understanding of contract lifecycle management, including initial review, negotiation strategy, drafting, and execution.
- Learning how to work and communicate within a large, multinational company with several affiliate entities.
- Organizing the elements of closing both simple and complex transactions
- Counseling internal clients on potential risks and opportunities associated with certain business decisions.
- Enhanced legal research skills applied to real-time business needs, including procurement law, government contracting requirements, and general corporate legal topics.
- Enhanced communication and advocacy skills
Requirements:
- Cumulative GPA of 3.3 or higher preferred
- Currently enrolled in an ABA approved law school
- Ability to deal with ambiguity in a fast-paced environment.
- Good organizational skills, including time management and extreme attention to detail.
- Propensity to be self-guided (manager will be largely remote from Crystal City Corporate office)
- Demonstrated ability to collaborate with others on projects and assignments to achieve optimal results.
- Proficient with Microsoft Office Programs.
- Creativity in problem solving and alternative solutions.
- Proven ability to present information in both 1 on 1 and large group settings.
- Ability to meet deadlines and schedules.
