Our prestigious law firm is on the hunt for a seasoned Corporate Shareholder Attorney to join our dynamic legal team. The ideal candidate will be an expert in the field of corporate governance and entity formation, with a deep understanding of corporate entity structure, asset and stock sales, corporate/entity transactions, and securities law. This is a permanent position, offering the successful candidate the opportunity to work with a team of highly skilled professionals.

Responsibilities
As a Corporate Shareholder Attorney, you will be tasked with:
1. Providing legal advice and guidance on a range of corporate governance issues, ensuring our clients' compliance with all relevant laws and regulations.
2. Assisting in the formation and structuring of corporate entities, including advising on the most appropriate entity type and jurisdiction for each client's specific needs.
3. Handling all aspects of asset and stock sales, including drafting and reviewing purchase agreements, conducting due diligence, and negotiating terms.
4. Overseeing corporate/entity transactions, such as mergers, acquisitions, and joint ventures, ensuring all legal requirements are met and risks are appropriately managed.
5. Advising on securities law matters, including compliance with federal and state securities regulations, public and private offerings, and shareholder rights issues.
6. Representing our clients in shareholder disputes and litigation, including drafting pleadings, conducting discovery, and advocating for our clients in court.
7. Staying up-to-date with changes in corporate and securities law, and advising clients on how these changes may impact their businesses.
QUALIFICATIONS
To be considered for this role, you must have:
1. A Juris Doctor (JD) degree from an accredited law school.
2. Admission to the Alabama (AL) state bar.
3. Experience as a corporate attorney, with a focus on corporate governance, entity formation, asset and stock sales, corporate/entity transactions, and securities law.
4. Strong analytical and problem-solving skills, with the ability to provide practical legal advice that aligns with our clients' business objectives.
5. Exceptional negotiation skills, with a proven track record of successfully closing complex transactions.
6. Excellent communication and interpersonal skills, with the ability to build strong relationships with clients and team members.
7. A portable book of business with a minimum of $100,000.
