<p><strong>Job Summary</strong></p>
<p>Prove is seeking a Corporate Development Manager to evaluate and execute M&A transactions and identify strategic partners. This role involves managing investment ventures and alliances to support the company's mission and growth goals. In this capacity, you will manage every phase of the deal lifecycle, performing detailed qualitative and quantitative assessments to identify targets, drafting executive recommendations, and overseeing financial modeling. Your responsibilities will also encompass due diligence, post-merger integration, and monitoring investment results.</p>
<p>This high-visibility position involves frequent collaboration with executive leadership and potentially the board of directors. We are searching for a motivated self-starter with an entrepreneurial mindset and a robust work ethic, capable of navigating a fast-paced setting while managing several intricate projects simultaneously.</p>
<p><strong>Key Responsibilities:</strong></p>
<ul>
<li>Partner with senior leaders in driving strategy and solutions for complex strategic questions with engagement from business executives, subject matter experts and cross-functional teams. Distill complex findings and build clear and compelling business cases for review by Prove’s executive team and Board of Directors</li>
<li>Evaluate potential acquisitions, investments, strategic partnerships and other external opportunities from a qualitative and quantitative perspective</li>
<li>Learn about the ecosystem of companies that could be potential acquisition opportunities or partners; report to senior leadership on potentially valuable acquisitions</li>
<li>Attend relevant conferences and events to learn about the ecosystem and build relationships with relevant companies</li>
<li>Manage deal processes from end to end, including being the relationship owner, negotiator and external face of Prove in significant partner relationships</li>
<li>Drive deal diligence, integration planning, documentation and implementation</li>
<li>Manage post-close integration planning and execution</li>
<li>Assist in structural fundraising efforts</li>
<li>Do all of the above independently, drawing on your past experiences and strong conceptual thinking to determine solutions to net new questions</li>
<li>Partner with the Business Operations team to create more infrastructure and organization with our existing and future partners, and develop a strategy to optimize results and costs</li>
<li>Assist the CFO with a variety of other cross functional projects including developing an AI strategy, OKRs, and other initiatives</li>
</ul>

<li>Deep understanding of the industry, market dynamics, and competitive landscape </li>
<li>Excellent communication, negotiation, and interpersonal skills to build strong relationships with clients and partners </li>
<li>Analytical skills to evaluate market opportunities, assess risks, and develop effective business strategies </li>
<li>Expertise in proposal writing, presentation development, and contract negotiation </li>
<li>Proficiency in CRM tools and data analysis to track sales performance and identify trends</li>

<li>Strong passion for learning about our products and markets through in-house and external training.</li>
<li>Experience in high-growth /pre-IPO Technology companies</li>
<li>Willingness to travel to meet potential targets</li>

<p>The anticipated salary range for this role is $150,000-170,000 plus company bonus. Offered salary will be determined by the applicant’s education, experience, knowledge, skills, geo-location and abilities, as well as internal equity and alignment with market data.</p><div class="content-conclusion"><p>Prove follows a market driven compensation philosophy based on geographic location and respective market rates.
