KPMG is currently seeking a Managing Director and Associate General Counsel to join its Office of General Counsel (OGC) - Corporate Legal as the Head of Corporate Transactions and Governance.
Responsibilities:
- Lead the Corporate Transactions and Governance subgroup; oversee the legal strategy and advice across M&A, strategic alliances, corporate governance, network governance and documentation and financing transactions and develop/support talent in the subgroup
- Act as a firm-wide, high-impact advisor on matters of significant importance, working directly with functional and firm leaders on issues with major operational implications
- Lead and negotiate complex transactions and relationships including acquisitions, cross-functional and cross-border network initiatives and non-standard alliance agreements while maintaining deep familiarity with the firms partnership agreement, bylaws, network governance and organizational structure (subsidiaries and affiliates)
- Collaborate with Assistant Secretary to KPMG Americas on corporate governance responsibilities, legal advice and engagement with firm leadership
QUALIFICATIONS
- Minimum 14 years of recent experience in well-regarded law firm or in-house legal department; JD or LLM from an accredited law school and licensed to practice law in the U.S., including in the state in which his/her office is located
- Subject-matter expertise in M&A, partnership law and corporate governance, with working knowledge of financing transaction documentation and corporate law matters generally
- Ability to manage multiple projects simultaneously and meet deadlines with consistently high-quality deliverables and results; strategic thinking in sensitive and complex situations and the highest ethical standards, integrity, authenticity, credibility and character
- Demonstrated collaboration skills, including building strong business partnerships and working within cross-functional teams; client-service orientation with the ability to create effective working relationships across functions and geographies
- Leadership skills and ability to navigate ambiguity and influence stakeholders; high emotional intelligence to manage relationships across the team and the broader organizations, resolve conflicts, manage change and understand needs and motivations of both senior leaders and team members
