About The Role
The Corporate Paralegal is a key member of the Corporate Legal team responsible for project managing and supporting Oscar’s entity management and subsidiary governance workflows. You will work closely with internal Oscar teams and interfaces with our external regulators. You will report into the Associate General Counsel.
Work Location: This position is based in our New York City office, requiring an onsite work schedule.
Pay Transparency: The base pay for this role is: $38.22 - $50.16 per hour. You are also eligible for employee benefits and monthly vacation accrual at a rate of 15 days per year.
Responsibilities
- Supporting Corporate Secretary function for subsidiary board cycles by drafting agendas, meeting minutes, resolutions, and consents; communicating with board members; assisting during board meetings. Support off-cycle board actions and updates.
- Managing Oscar’s portfolio of legal entities by drafting and revising corporate documents, maintaining corporate records, tracking annual statements and other filing deadlines.
- Prepare, review, and file annual and amendments to insurance holding company systems filings and manage inter-company agreements.
- Serve as a subject matter expert on corporate structure and respond to audit requests related to corporate information from cross-functional teams; draft correspondence to regulators.
- Project manage special projects such as strategic transactions, entity name changes, or internal legal team projects.
- Contribute to the development of internal procedural guides on entity management and subsidiary governance to support streamlined processes and retain institutional knowledge.
- Compliance with all applicable laws and regulations.
- Other duties as assigned.
Requirements
- Bachelor’s degree or 4 years of commensurate experience.
- 2+ years of corporate paralegal experience, including entity management, corporate governance, and corporate regulatory filings.
- 2+ years of experience designing and improving workflows.
- Demonstrated cross-functional project management skills.
- Highly organized and detail-oriented.
- High ethical standards and proven ability to maintain confidentiality of sensitive information.
- Dynamic team player who thrives in a fast-paced environment.
- Proficiency in MS Word, Excel, Google Suite, and Zoom.
