Position Summary
The Paralegal, Corporate Contracts will assist the Legal Team with management, administration, review, drafting and negotiation of a variety of commercial contracts.
Essential Functions
- Work closely and collaboratively with members of the Legal Team to provide end-to-end support for all commercial contracts; have ownership/responsibility for all phases of contract creation, development and execution
- Contract administration, including redlining, drafting (in collaboration with attorneys), managing contract process, filing and tracking key terms for day-to-day operations, including NDAs, MSAs, SOWs, evaluation/material transfer, work orders, research collaboration, lease, consulting agreements, confidentiality, clinical trial, investigator, site and indemnification agreements
- Ensure appropriate authorization and signatories for execution of contracts, assembly of agreements and exhibits, routing, distribution, and document management
- Assist with management and maintenance of CRM platform; make improvements and customize as needed
- Manage, maintain and update various forms of agreements
- Collaborate with internal stakeholders and external parties to set expectations and to gather information necessary for contract drafting and negotiations
- Contribute to the review, development, communication and implementation of commercial contracts policies and procedures; ensure appropriate internal processes and procedures are followed
- Manage and prepare renewals, amendments, addendums, and contract extension documents for mature contracts
- Support M&A, financing activity and other strategic transactions, including due diligence, preparation of schedules, review of contracts for assignment, change in control, and other pertinent provisions
- Create, edit and adhere to Standard Operating Procedures (SOPs), process improvements, and standardization of templates.
- Assist with corporate governance and regulatory compliance as needed
- Perform ad-hoc and cross-functional projects assigned to support business needs and provide developmental opportunities.
Education & Experience
- Bachelor’s degree with 6+ years of experience as a paralegal required; or
- ABA-approved Paralegal certification is required.
- Commercial contracts and contracts management experience required
- A mix of law firm and in-house experience preferred
- Specialized paralegal experience in Pharma/Biotech is preferred.

- Ability to organize and prioritize numerous tasks and complete them under time constraints.
- Ability to proofread typed material for contextual, grammatical, typographical or spelling errors.
- Ability to effectively prioritize and multi-task under limited direction, and ability to shift priorities quickly while working under tight timelines.
- Ability to maintain proprietary, trade secret and confidential information.
- Excellent interpersonal skills, oral and written communication skills, and professional presence.
- Flexibility and good judgment with a desire to identify needs, improve and streamline processes.
Working Environment / Physical Environment
- This position works onsite in Dunkirk, NY as noted in the offer letter.
- Regular work schedule is Monday – Friday, within standard business hours. Flexibility is available with manager approval.
- This position performs work in an office environment requiring the regular use of computer monitors and keyboards and other office equipment.
- Lift and carry materials weighing up to 20 pounds.
This position is eligible for a discretionary bonus and equity award. The annual base pay range for this position is below. The specific rate will depend on the successful candidate’s qualifications, prior experience as well as geographic location.
$107,000 (entry-level qualifications) to $117,500 (highly experienced) annually
