INTRODUCTION
QPWB is seeking an experienced Senior Litigation & Corporate Paralegal to support the Business Law and Commercial Litigation Practice Group led by Rafael Zahralddin. This role will support complex commercial litigation, corporate governance disputes, bankruptcy proceedings, mergers and acquisitions transactions, and regulatory compliance matters for domestic and international clients.
Responsibilities:
- Assist attorneys with all phases of commercial litigation, including case initiation, discovery, motion practice, trial preparation, and post-judgment proceedings.
- Draft, review, and file pleadings, motions, subpoenas, notices, and discovery documents in state and federal courts.
- Manage large-scale document productions and e-discovery projects.
- Organize case files, exhibits, deposition materials, and trial notebooks.
- Coordinate depositions, mediations, arbitrations, hearings, and court appearances.
- Review and summarize corporate records, contracts, financial documents, and regulatory filings.
- Assist with due diligence reviews for mergers, acquisitions, and corporate transactions.
- Support bankruptcy and restructuring matters, including claims administration and court filings.
- Prepare corporate governance materials, board resolutions, entity formation documents, and compliance records.
- Conduct factual investigations and prepare chronologies, witness files, and document summaries.
- Communicate with clients, experts, vendors, court personnel, and opposing counsel.
- Track deadlines and maintain litigation calendars across multiple jurisdictions.
QUALIFICATIONS
- Paralegal certificate or equivalent experience.
- 5+ years of litigation and/or corporate transactional paralegal experience preferred.
- Experience in commercial litigation, bankruptcy, corporate governance, or business transactions strongly preferred.
- Proficiency with e-discovery platforms, document management systems, and Microsoft Office Suite.
- Familiarity with Delaware state and federal court filing procedures preferred.
- Strong attention to detail and organizational skills.
- Ability to prioritize competing deadlines and work independently.

- Delaware Court of Chancery litigation.
- Corporate governance matters.
- Bankruptcy and restructuring proceedings.
- M&A due diligence and transaction support.
