INTRODUCTION
Pillsbury is seeking a Corporate/Securities Paralegal with 7 to 10 years of experience to join its New York office. The ideal candidate will have experience supporting attorneys with corporate transactions including IPOs, mergers and acquisitions, entity formation, stock option plans, and venture capital financings. This role services a broad array of clients across a wide range of industries and will provide varied work experience with a focus on entity formation and corporate governance, supporting due diligence efforts, performing corporate records management, administration and implementation of stock option plans, handling venture capital financings, and conducting blue sky and securities filings research. The successful candidate must demonstrate a high level of integrity, critical thinking ability, effective project and time management skills, solid attention to detail, superior communication skills, and exceptional organizational ability.
PRIMARY RESPONSIBILITIES
- Proficiency in client capitalization database (e.g., Carta, Shareworks, Pulley)
- Assist with management and maintenance of capitalization records
- Aid in drafting and filing federal and blue sky securities filings and notices
- Support attorneys in the preparation of formation and initial financing documents
- Corporate records maintenance, including minute books and Board of Directors minutes
- Assist in the preparation of closing documents and perform post-closing tasks
- Support deal closings, entity formation, and registration filings for clients
QUALIFICATIONS
- Bachelor’s Degree, preferably in Business, Accounting, Finance, or related work experience
- 7 to 10 years of experience as a corporate/securities paralegal in a law firm environment
- Prior experience with Carta, Shareworks, Pulley, or other capitalization management software
- Demonstrated knowledge of capitalization fundamentals and securities law requirements
- Ability to read and interpret spreadsheets, plan documents, and security-related agreements
- Proficiency in Excel, including complex sorting/filtering, formulas, pivot tables, and data analysis
- Ability to maintain the integrity of highly confidential information
- ECA designation or CEP certification is a plus
- Excellent computer skills including DocuSign and MS Office (Word, Excel, Outlook)
COMPENSATION
- The expected salary range for this position is $165,000-$185,000. Final compensation will be determined based on several factors, including but not limited to, relevant experience, qualifications, skill set, and geographic location.
