Position Summary
Responsible for coordinating and facilitating the contract process within assigned Ministry, including physician and vendor contracting, service agreements, non-disclosure agreements and various other agreements. Responsible for supporting Trinity Health's Contract Management System (“CMS”) and serves as the local Ministry’s CMS Contract Administrator. Accountable for maintaining contract process in compliance with applicable Trinity Health and Ministry policies and procedures. Serves as liaison between Legal Department and Ministry business owners in support of contract process. Responsible for contract intake, review and storage processes; managing electronic signature process ensuring all contracts are properly executed; in coordination with Trinity Health’s CMS System Administrator, developing and providing Ministry end user education, including the impact of contract management on compliance, and other contract management processes; and managing Ministry user access and security. Assists with other projects for the Legal Department as assigned.
ESSENTIAL FUNCTIONS
Knows, understands, incorporates and demonstrates the Trinity Health Mission, Vision and Values in behaviors, practices and decisions. Develops and adheres to standard process workflows for the creation, review, and approval of physician and other contracts administered by the Ministry and provides training and support to Ministry stakeholders involved in process workflow. Coordinates and develops contracts compliant with various Federal and State laws that impact financial and other business arrangements between hospitals, physicians and other individuals and entities in a position to refer business to each other. Interacts with legal counsel and business owners routinely regarding contracting issues. Facilitates governance approval and document compliance with required elements for any financial relationship between hospitals, physicians and other individuals and entities in a position to refer business to each other. Maintains Ministry CMS database and oversees Ministry user access and security by establishing standard criteria for access; reviews and modifies contract information in the CMS in coordination with other members of the Trinity Health Legal Department and the Trinity Health CMS System Administrator. Serves as primary contact within the Ministry for CMS user inquiries, follow-up, communications on system upgrades and other notifications. Develops and distributes CMS reports for CMS users and Ministry stakeholders. Responsible for planning, organizing and carrying out multiple projects simultaneously while adhering to multiple and competing deadlines and priorities. Performs a variety of complex duties with a high degree of skill and accuracy, many of which are confidential in nature. Responsible for drafting correspondence and contracts; distributing and tracking executed agreements; analyzing contracts; assisting with administrative and regulatory reviews and contract compliance issues; performing legal research and writing, and assisting with other Legal Department matters. Maintains a working knowledge of applicable Federal, State and local laws/regulations; the Trinity Health Integrity and Compliance Program and Code of Conduct; as well as other Trinity Health and Ministry policies and procedures in order to ensure adherence in a manner that reflects honest, ethical and professional behavior.
MINIMUM QUALIFICATIONS
Requires paralegal certificate, degree in paralegal studies or a Bachelor’s degree in a health related field. Five (5) or more years of experience working in a law firm and/or corporate legal department with an emphasis on corporate healthcare and contract administration. Experience in corporate records and transactions preferred. Experience with legal research, filing and processing legal documents. Must be comfortable operating in a collaborative, shared leadership environment. Work is subject to review by an attorney of the Legal Department.
MENTAL AND PHYSICAL REQUIREMENTS AND WORKING CONDITIONS
This position is located on-site at System Office in Livonia, Michigan or at an assigned Ministry. Must be able to travel to the various Trinity Health sites.
- Operates in a typical office environment. Includes continuous work time indoors (subject to travel requirements) under temperature-controlled and well-lit conditions, may encounter occasional variable external environmental conditions.
- Includes occasional lifting, up to 30 pounds unassisted, occasional travel, frequent use of computer, continuous sitting and may require occasional long periods of continued walking, standing, stooping, bending, pulling and pushing.
Direct Healthcare and Indirect / Support Healthcare Services: Must be able to:
- Adapt to frequent interruptions, shifting priorities and stressful situations, attend to tasks until complete, understand and relate to complex ideas and concepts and be able to remember multiple tasks and regimens extending over long periods of time and work on concurrent tasks/projects.
- Must be able to work concurrently on a variety of tasks/projects in an environment that may be stressful with individuals having diverse personalities and work styles.
- Communicates frequently, in person, virtually and over the phone, with people in all locations, continuously read small print, frequent ability to hear normal sounds and voice patterns, able to give/receive instructions and other verbal communications in-person and over the phone/computer/device/equipment assigned with some background noise.
- Perform frequent manual dexterity activities and occasional grasping/handling.
