Position Summary:
We are seeking an experienced Corporate Tax Attorney with significant expertise in federal tax law and Internal Revenue Service (IRS) matters to serve as a strategic legal advisor to the organization. This role will provide legal guidance on tax compliance, audits, investigations, corporate transactions, and regulatory matters involving the IRS and other taxing authorities. The ideal candidate will possess strong analytical skills, sound judgment, and the ability to navigate complex tax issues while balancing legal risk and business objectives.
Essential Duties and Responsibilities
Provide legal counsel regarding federal, state, and local tax matters affecting the organization and its affiliated entities.
- Advise executive leadership on IRS regulations, tax compliance requirements, and evolving tax legislation.
- Represent the organization in IRS examinations, audits, appeals, and other administrative proceedings.
- Coordinate and manage responses to IRS inquiries, notices, and information requests.
- Review and analyze corporate structures, transactions, and business initiatives to identify tax implications and legal risks.
- Assist with tax planning strategies designed to support organizational objectives while ensuring compliance with applicable laws.
- Draft, review, and negotiate agreements involving tax provisions, including purchase agreements, financing documents, and settlement agreements.
- Collaborate with finance, accounting, and external tax advisors regarding tax reporting obligations and compliance initiatives.
- Conduct legal research and prepare memoranda addressing complex tax issues and regulatory developments.
- Advise on nonprofit and tax-exempt organization matters, including maintaining exempt status and addressing unrelated business income concerns, when applicable.
- Develop and implement policies and procedures to strengthen tax governance and internal controls.
- Monitor changes in tax laws and regulations and provide practical guidance to leadership regarding operational impacts.
- Manage relationships with outside counsel and consultants engaged for specialized tax matters.
Provide education and training to internal stakeholders regarding tax compliance and legal obligations.
Qualifications
Juris Doctor (J.D.) degree from an accredited law school.
- Active license to practice law and membership in good standing with the applicable state bar.
- Minimum of five (5) years of experience practicing corporate tax law, with substantial exposure to IRS matters.
- Demonstrated experience handling IRS audits, appeals, and controversy matters.
- Strong knowledge of federal tax laws, regulations, and administrative procedures.
- Experience advising corporate entities, multi-entity organizations, or healthcare organizations preferred.
- An LL.M. in Taxation and/or prior experience with the IRS is strongly preferred.
- Excellent written, verbal, negotiation, and interpersonal communication skills.
Ability to manage multiple priorities while maintaining strict confidentiality and attention to detail.
Preferred Qualifications
Familiarity with healthcare reimbursement and tax considerations.
- Experience involving mergers and acquisitions, corporate restructuring, and transactional tax matters.
Background developing organizational compliance programs and internal controls.
Physical Requirements and Work Environment
Primarily performed in an office environment.
- Occasional travel may be required for meetings, audits, hearings, or regulatory proceedings.
Ability to work extended hours as necessary to meet organizational needs and legal deadlines.
