The Opportunity
BMSS AdvisorsCPAs is seeking a Tax Senior Manager to join our Transaction Advisory Services (TAS) practice and help lead the tax workstream of mergers, acquisitions, and other strategic transactions. This is a highly visible, client-facing leadership role supporting both buy-side and sell-side engagements.
In this role, you will guide clients through tax due diligence, transaction structuring, tax planning, and post-closing integration and compliance. You will work closely with business owners, private equity sponsors, attorneys, and other advisors to identify exposures, quantify risk, and develop practical tax solutions throughout the deal cycle.
Relationships are central to how we work. You will serve as a trusted advisor to clients, collaborate across internal teams, and mentor developing professionals while helping shape the continued growth of our TAS tax practice.
What You'll Do
- Lead tax due diligence for mergers, acquisitions, and other transactions, identifying exposures and quantifying risk for buyers and sellers
- Advise on transaction structures, including stock versus asset treatment, F reorganizations, §338(h)(10) and §336(e) elections, rollover equity, and §1060 purchase price allocations
- Review purchase and sale agreements for relevant tax considerations, including disclosure schedules, covenants, indemnities, intended tax treatment, and purchase price allocations
- Advise closely held and private equity-backed clients on negotiated tax matters, entity structures, and reorganizations
- Collaborate with clients and their legal, financial, and transaction advisors throughout the deal cycle
- Support post-closing tax integration, planning, and compliance while mentoring junior team members and reviewing work product
What We're Looking For
- 8+ years of experience in tax, transaction advisory services, or a relevant federal tax practice
- Strong working knowledge of partnership, S corporation, and C corporation taxation
- Active CPA license required
- Bachelor's degree in Accounting from an accredited institution
- Advanced proficiency in Microsoft Excel and comfort working with complex tax and transaction data
- Exceptional written and verbal communication skills, with the ability to explain complex tax matters clearly to clients and deal teams
Preferred:
- Prior experience leading tax due diligence engagements for buy-side or sell-side transactions
- Experience advising closely held businesses, private equity-backed companies, or lower middle market clients
- Demonstrated ability to develop team members, manage multiple engagements, and build trusted client relationships
