About the Role:
The Senior Corporate Counsel is a senior legal officer responsible for assisting the General Counsel (GC) in directing the company’s legal strategy and operations. The Senior Corporate Counsel will provide strategic guidance and leadership and hands-on practice across various legal functions, including corporate governance, commercial contracts, corporate transactions, intellectual property, and general corporate matters. In addition, the Senior Corporate Counsel will manage legal risks and ensure the company’s business activities comply with applicable laws and regulations. Success in this role requires a strong understanding of business operations, the ability to make sound judgments in a fast-moving environment, and the ability to work cross-functionally with leadership and other departments.
Responsibilities:
Corporate and Commercial Contracts
- Draft, negotiate, and complete commercial contracts, including vendor agreements, enterprise customer contracts, and other business partnership agreements.
- Work closely with business leaders, compliance leaders and other stakeholders to structure business transactions and documents for innovative deals.
- Ensure contracts are consistent with corporate policies and applicable laws, and manage any disputes arising from contract breaches or enforcement.
- Implement best practices in creating consistent agreements for business segments.
Regulatory Compliance and Risk Management
- Advise on regulatory compliance matters, including data privacy.
- Develop and implement legal risk management strategies, identifying potential legal issues and recommending preventive actions.
- Keep abreast of changes in laws and regulations that could impact the company, ensuring ongoing compliance.
- Collaborate with outside counsel, the executive leadership team, external advisors, and other stakeholders to strategize, negotiate and execute mergers, acquisitions, and other corporate transactions.
- Ensure all transaction-related documentation is legally sound and compliant with applicable laws.
Team Leadership and Development
- Mentor and develop members of the legal team, fostering a high-performance, collaborative, and collegial culture.
- Collaborate with other departments to provide legal insights and support for business operations.
- Manage external counsel relationships, ensuring the delivery of high-quality and cost-effective legal services.
Advisory Role
- Serve as a trusted advisor to the executive leadership team on various legal and business matters.
- Provide practical legal advice that balances legal risk and business objectives.
- Stay up-to-date with industry trends, emerging legal issues, and innovative legal solutions.
Other Responsibilities
- Perform other legal duties and special projects as assigned by the General Counsel or Deputy General Counsel.
- Represent the company in external matters and maintain relationships with key stakeholders, including regulators and industry bodies.

Candidate Requirements:
- Juris Doctor (J.D.) from an accredited law school.
- Licensed to practice law in any state in the United States.
- Minimum of 10-15 years of relevant legal experience, including law firm experience.
- Proven track record of managing complex legal matters, including complex legal contracts, disputes, regulatory compliance, corporate transactions, and intellectual property.
- Strong knowledge of corporate law, commercial contracts, and business operations.
- Previous experience in banking, payments or fintech is highly preferred.
- Exceptional analytical, negotiation, and drafting skills.
- Ability to communicate complex legal concepts to non-legal stakeholders in a clear and concise manner.
- Strong leadership and interpersonal skills, with the ability to build relationships across all levels of the organization.
- Excellent judgment and decision-making ability.
- Proactive, solutions-oriented approach to legal issues.
- Strong organizational and time-management skills, with the ability to prioritize multiple projects in a fast-paced environment.
- Strong work ethics and integrity.
