Job Overview
We are seeking a Director, Commercial Legal to serve as a key legal partner supporting high-impact, global commercial transactions across our AI infrastructure, memory, and advanced computing businesses. The level will depend on experience, but the mandate is clear: this person will be the day-to-day owner of the company's commercial legal function for large, complex transactions, with significant autonomy to shape strategy and priorities.
This is a position at the center of a rapidly scaling AI business where you will own and drive large, complex commercial transactions end-to-end, while managing a high-volume, diverse portfolio of commercial deals. Your work will span everything from routine vendor and procurement agreements to complex, high-value transactions that enable production-scale AI deployments for enterprise and next-generation customers.
You will work closely with sales, operations, supply chain, and product teams to structure, negotiate, and execute agreements that directly support Penguin’s strategic growth and customer expansion.
The ideal candidate brings a strong commercial foundation, thrives in a dynamic environment, and can translate legal risk into business velocity, while knowing when to escalate novel or high-risk issues.
Why This Role
- Front-row seat to the AI infrastructure transformation from training to inference and enterprise deployment
- Direct impact on strategic, revenue-generating transactions
- Ownership of a broad, high-volume deal portfolio spanning routine agreements to strategic, novel transactions
- Exposure to cutting-edge technologies (AI systems, memory architectures, data center infrastructure)
- High visibility across legal leadership and business teams
- Opportunity to help scale contracting frameworks for a rapidly growing global platform company
Responsibilities
1. Strategic Commercial Contracting (Core Focus)
- Own large, complex commercial transactions end-to-end, from structuring through negotiation and execution, while independently managing a range of deal complexity from standard to highly customized, strategic transactions
- Lead drafting, review, and negotiation of simple to complex commercial agreements, including:
- Enterprise customer agreements for AI infrastructure and hardware solutions
- Vendor, supplier, and procurement agreements
- Supply chain, manufacturing, logistics, and distribution arrangements
- Balance legal risk, deal velocity, and commercial objectives in a fast-moving environment
- Provide clear, actionable guidance to business stakeholders on contract structure, risk allocation, and negotiation strategy
2. AI Infrastructure, Hardware & Supply Chain Focus
- Support transactions involving AI infrastructure deployments, hardware systems, and memory-driven architectures
- Advise on key issues including:
- Delivery, acceptance, and performance standards
- Warranty frameworks and support models
- Liability allocation in complex, multi-party environments
- Downstream customer and ecosystem obligations
- Partner closely with operations and supply chain teams to ensure contracts align with real-world deployment and scaling requirements
- Identify recurring risk patterns and drive standardization and scalability in contracting approaches
3. Business Partnership & Growth Enablement
- Act as a trusted advisor to sales, product, finance, and operations teams
- Enable efficient deal execution by delivering practical, business-oriented legal solutions
- Support Penguin’s expansion into enterprise, neocloud, and sovereign AI markets, including longer-cycle, high-value deployments
- Contribute to development of:
- Contract templates and playbooks
- Scalable processes for increasing deal volume
- Training and enablement for business teams
4. Risk Management & Escalation
- Exercise strong judgment in determining when to act independently versus escalate
- Spot and escalate regulatory, compliance, or non-standard risk issues
- Support transactions involving regulated or government-adjacent customers, as applicable
Qualifications
- JD from an accredited law school
- Active bar membership in good standing
- 12+ years of relevant legal experience, with substantial commercial contracting expertise
- Demonstrated ability to independently negotiate complex customer and vendor agreements
- Experience supporting technology, hardware, infrastructure, or supply chain-driven businesses
- Strong business judgment and ability to translate legal risk into practical guidance
- Excellent communication skills with both legal and non-legal stakeholders
- Comfort operating in a remote, fast-paced, and cross-functional environment
- Comfortable using AI tools in legal workflows, with an interest in identifying opportunities to deploy AI to improve efficiency, quality, and scalability within the legal function.
- Highly pragmatic, business-oriented, and solutions-driven
- Comfortable operating with autonomy and accountability
- Strong collaborator across technical and commercial teams
- Curious and adaptable in a rapidly evolving AI landscape
- Organized and capable of managing multiple priorities
- Positive, low-ego, and team-oriented

Tips for Your Legal Director Job Search
Tailor your resume to business outcomes
Legal directors are evaluated on how their work affected the organization, not just their legal expertise. Reframe every bullet to show what you protected, resolved, or enabled for the business, such as contracts negotiated, litigation costs reduced, or regulatory risks mitigated.
Apply early to roles that fit
Migrate Mate lists legal director openings from across the United States in one place, so you can find roles that match and apply directly to each listing.
Highlight cross-functional leadership experience
Hiring managers for this role want to see that you can work alongside finance, HR, and executive leadership, not just manage legal matters. Name the departments you partnered with and describe a decision you shaped outside pure legal counsel.
Match your specialization to the sector
A legal director résumé strong in healthcare regulatory compliance reads very differently from one built around M&A or employment law. Before applying, identify the sector's dominant legal concerns and make sure your most relevant experience appears in the top third of your résumé.
Prepare a strategic legal initiative story
Interviewers at the director level will ask you to describe a legal program or policy you built from scratch. Have a concise story ready that covers the problem you identified, how you designed the solution, and the measurable result it produced for the organization.
Negotiate using total compensation benchmarks
Legal directors often receive equity, bonus structures, and professional development budgets alongside base pay. Before your offer conversation, research total compensation for your sector and geography using publicly filed proxy statements and published compensation surveys so you can negotiate the full package, not just base salary.
Legal Director Jobs: Frequently Asked Questions
Which companies are hiring the most legal directors?
The companies hiring the most legal directors right now include WilmerHale, CRUSOE, and Airwallex, with the largest share of openings in California, New York, and Texas, based on current listings on Migrate Mate as of September 2026. Demand is strongest in industries with complex regulatory environments, including healthcare, financial services, and technology.
How many legal director jobs are remote?
About 80% of legal director openings are fully remote or hybrid as of September 2026, reflecting the role's need for in-person executive engagement. The sub-areas most likely to support remote arrangements are compliance and privacy law, where work is document- and policy-driven rather than tied to a physical location.
How do you become a legal director?
Becoming a legal director typically requires earning a Juris Doctor, passing the bar in your state, and spending years building deep expertise in a specialty such as employment law, compliance, or corporate transactions. From there, you need to move into roles with increasing management responsibility, whether supervising junior attorneys or leading a small legal team, before stepping into a director-level position.
Can you get hired as a legal director without prior director experience?
Yes, you can move into a legal director role without holding that exact title before, but you need to demonstrate the substance of the job. Employers look for candidates who have managed legal teams or projects, advised senior leadership, and owned a significant area of legal risk. A strong record of cross-functional influence and business partnership often matters as much as your formal title history.
What does the legal director interview process look like?
The legal director interview process typically involves an initial screening with HR or a recruiter, followed by a substantive interview with the general counsel or chief legal officer, and then panel discussions with business unit leaders or C-suite executives. Candidates are often asked to walk through a complex legal challenge they managed and explain how they advised the business. Some employers include a written scenario or case exercise before an offer is extended.
Where can I find and apply to legal director jobs?
You can find and apply to legal director jobs on Migrate Mate, which lists current openings from across the United States in one place. Find roles that fit your specialization and experience level and apply directly to each listing.
