Job Description:
As Corporate Counsel – Commercial Business, you will be an integral member of the Allison legal team that will focus on a wide range of commercial matters, including drafting, reviewing and negotiating commercial contracts, advising on pre-litigation disputes, and providing practical guidance on contractual rights and obligations for various Allison business units and functions.
In this role, you will be required to utilize your business insight, as much as your legal knowledge, in collaborating with business leadership and functional organizations to meet business objectives.
Key Responsibilities:
- Draft, review, negotiate and advise on a wide range of commercial contracts, including nondisclosure agreements, with suppliers, vendors, distributors and customers to further business operations and objectives.
- Evaluate and advise on complex commercial matters, including providing practical guidance on contractual rights and obligations.
- Assist in drafting and maintaining various company policies and procedures, including responsibility for developing new or enhancing existing contract templates, guidelines, policies, and training materials in support of the Legal team's efforts to proactively support all aspects of the company’s business objectives.
- Assist with analysis, advice and correspondence regarding pre-litigation matters falling within the scope of the role.
- Assist in the preparation and administration of various legal training courses for the supported functions as needed.
- Ensure appropriate internal reporting within the Legal team, and respective business partners, exercising good judgment on what is material to the audience.
- Supports the business with a variety of commercial transactions as needed, including M&A efforts and integration.
- Collaborate with external legal support as required.
- Adapt easily to new circumstances.
- Other duties as assigned.

- Does the employee timely and accurately provide technically sound, practical and actionable legal advice related to in scope commercial matters to internal stakeholders?
- Is the employee reducing legal exposure, risk, and outside spend related to the matters for which the individual is responsible?
- Does the employee proactively engage with colleagues and leadership within the Legal team to assess areas for process improvement and advocate for the adoption of measures that could improve the function?

Qualifications
- Experience providing legal support on commercial matters, preferably in the manufacturing and/or technology field
- Sound legal, analytical, and problem-solving skills with the ability to adapt, taking on new roles and comfort learning new areas of the law
- Excellent verbal and written communication and presentation skills, with ability to communicate information effectively to non-lawyers at all levels of a business
- Highly motivated self-starter
- Detail oriented
- Skill in establishing and maintaining effective relationships with key stakeholders
- Able to exercise initiative, judgment, discretion and decision-making to achieve organizational objectives and elevate matters to Legal leadership at appropriate time
Experience:
- Minimum 3 years of legal experience in a law firm or in-house setting.
- Possess a Juris Doctor Degree
- Active license to practice law in at least one state with no pending discipline or complaints and the ability to obtain a license to practice law in Indiana
