INTRODUCTION

Lyft is looking for a Corporate Paralegal to join our Legal Team! Working closely with Lyft’s in-house counsel and other teams, you will manage corporate governance and securities processes and projects. You should be a self-starter with a positive attitude who takes ownership of projects and works collaboratively with others.
Responsibilities:
- Manage domestic and international corporate subsidiaries, including but not limited to: state/corporate registrations, registered agent relations, director and officer information, corporate approvals and record keeping, transaction execution, governance policies, and compliance processes
- Assist with SEC filings (including Section 16 reporting, proxy statements, Forms 8-K, 10-Q and 10-K), board/committee meeting preparation and materials, and annual stockholder meeting matters
- Manage scheduling and completing corporate governance and securities filings
- Assist with M&A, financing and other strategic transactions, including providing due diligence support, data room management, and preparing and organizing deal documents
- Coordinate with stock administration team to ensure proper management of equity plan
- Partner with other teams within the company and external parties to ensure efficient workflow and handling of requests
- Design and execute refined processes to help Lyft continue to grow
- Manage other projects as assigned
Experience:
- Bachelor’s degree
- 2+ years relevant legal experience - corporate governance and securities laws, administrative, operations, project management
- Top-tier law firm and/or public company in-house experience a plus
- A Paralegal certificate is a plus but not required for this position
- Excellent communication skills, and customer obsessed approach
- Team player who manages responsibilities as unexpected issues arise
- Collaborative, with ability to cultivate cross-functional relationships
- Exceptionally organized, efficient, detail-oriented, and articulate
- Ability to receive general direction and run projects independently in a timely manner with sound judgment and critical thinking skills
- Sense of humor, motivated, positive attitude, low ego, and a willingness to dive into new areas
- Proficiency working in a Mac environment, and specifically with Google Apps (Gmail, Calendar, Docs, Sheets, Drive, etc.) as well as Microsoft Suite, Adobe, DocuSign, etc.
