Job Description: Provides support in legal research, document preparation, and contract management, assisting attorneys and legal teams in various tasks. EXL is seeking a seasoned and commercially minded Assistant General Counsel to join its Legal & Compliance team, reporting to the EVP, General Counsel & Corporate Secretary, with a dotted-line relationship to the SVP, Chief Compliance Officer & Deputy General Counsel - Litigation & Regulated Services, who provides day-to-day direction on litigation matters. This is a high-impact role spanning active litigation management, commercial contracting, and select employment law matters across EXL’s global portfolio of business lines and client relationships. The successful candidate will be a trusted legal advisor to business leaders, bringing sound judgment, practical solutions, and the ability to thrive in a fast-paced, data-driven environment.
Responsibilities: Litigation & Dispute Resolution
- Manage the full lifecycle of litigation matters, including employment disputes, contract claims, and IP matters, in coordination with outside counsel across U.S. and international jurisdictions.
- Develop and execute litigation strategy, including assessments of risk exposure, settlement frameworks, and cost management.
- Oversee outside counsel relationships, monitor legal spend, and enforce billing guidelines and budget discipline.
- Partner with business operations, HR, and Finance to gather facts, preserve documents, and respond to legal holds and discovery obligations.
- Prepare senior leadership for updates on material disputes and litigation reserves.
- Monitor regulatory and judicial developments affecting the business services and technology sectors; advise management on emerging litigation risks.
Labor & Employment
- Provide day-to-day legal counsel to HR and business unit leaders on employment matters including hiring practices, employee relations, performance management, separations, and leave obligations across U.S. and international jurisdictions.
- Manage pre-litigation employment claims and, in coordination with outside counsel, oversee employment-related litigation, arbitrations, and agency proceedings (EEOC, DOL, state equivalents).
- Advise on employment-related provisions in commercial and vendor agreements, including contractor classification, non-solicitation, and confidentiality obligations.
Commercial Contracting
- Draft, review, and negotiate a high volume of complex commercial agreements, including master services agreements, statements of work, SaaS agreements, NDAs, and vendor contracts.
- Serve as primary embedded legal support to multiple business units and client-facing teams, providing timely, practical guidance on contractual risk allocation, liability caps, indemnification, limitation of remedies, and IP ownership.
- Advise on data privacy and security requirements embedded in commercial agreements, including GDPR, CCPA, HIPAA, and sector-specific obligations.
- Collaborate with Sales, Delivery, Finance, and Risk teams at the deal structuring stage to surface and mitigate legal exposure before execution.
- Lead post-execution contract management practices, including oversight of renewal, termination, and dispute escalation provisions.
Qualifications: Required
- J.D. from an accredited law school; active bar admission in good standing (New York preferred).
- 8–12 years of combined experience in commercial litigation and commercial contracting, with in-house experience at a technology services, business process management, or professional services company strongly preferred.
- Demonstrated track record managing complex, multi-party litigation from investigation through resolution.
- Extensive experience negotiating large, complex commercial agreements in a B2B environment.
- Exceptional drafting, negotiation, and communication skills, with the ability to translate legal complexity into business-ready guidance.
- Proven ability to independently manage a demanding, varied workload and prioritize competing deadlines without sacrificing quality.
Preferred
- Experience supporting global business operations across the U.S., Europe, India, and/or other international markets.
- Familiarity with AI governance, technology licensing, or analytics services contracts.
- Experience working in a high-growth, publicly traded company environment with SEC reporting obligations.
Salary Range: $200,000.00 - $250,000.00

Final offers are based on several factors, including the candidate's skills and experience, internal pay equity, work location, market conditions for the role, and the specific scope and responsibilities of the position. The top of the range is reserved for candidates who notably exceed the requirements; the lower end applies to those with less experience or fewer preferred qualifications. For positions based in higher-cost zones (e.g., California, New York, New Jersey), actual compensation may exceed the posted range; your recruiter will share specifics during the process.
